【正文】 共和國(guó)政府 (以下簡(jiǎn)稱(chēng) 國(guó) ).根據(jù) 1999年 9月 14日簽定的 兩國(guó)政府貿(mào)易和支付協(xié)議，就第一個(gè)協(xié)定年度 (2021年 )的貿(mào)易進(jìn)行了友好協(xié)商 , 達(dá)成如下協(xié) 第一條 中國(guó)根據(jù)需要從 國(guó)進(jìn)口附表 “ A” 所列的商品 ,總值為 美元。 第三條 附表 “ A”和附表 “ B”為本合同的組成部分，對(duì)未列入上述附表內(nèi)的商品的交換，無(wú)限制之意。 第五條 根據(jù)上述貿(mào)易和支付協(xié)定第 16條規(guī)定，透支額為 美元。 本合同于 1999年 9月 14日在北京簽定，一式兩份，用中文和英文寫(xiě)成，兩種文本具有同等效力。 the said trade secrets consisting but not necessarily limited to: a) Technical information: methods, processes, formulas, positions, systems, techniques, inventions, machines, puter programs and research projects. b) Business information: customer lists, pricing data, sources of supply, financial data and marketing, production or merchandising systems or plans. 2. I agree that I shall not during, or at any time after the termination of my employment with the Company, use for myself or others, or disclose or divulge to others including future employees, any trade secrets, confidential information or any other proprietary data of the Company in violation of this agreement. 3. That upon the termination of my employment from the pany: a) I shall return to the Company all documents and property of the Company, including but not necessary limited to: drawings, blueprints, reports, manuals, correspondence, customer lists, puter programs, and all other materials and all copies thereof relating in any way to the Company’s business, or in any way obtained by me during the course of employment. The mercial invoice should be presented to the ABC Company in three copies. 應(yīng)向 ABC公司提供三份商業(yè)發(fā)票。漢譯時(shí)采用原句句型和語(yǔ)序。 （ 3） “ in pursuance of ” 中 “ pursuance”的原意是“ carrying out or observance (of plan, rules)”， 漢語(yǔ)意思是 “ 實(shí)施計(jì)劃，遵守規(guī)章等 ” ， 在本句中需譯為 “ 根據(jù) …… 的規(guī)定而實(shí)施 ” 。 （ 2） “ enter into” 的原意是 “ 進(jìn)入，加入，受 …… 的約束 ” ，在本句中譯為 “ 達(dá)成 ” 。 3． The Republic of…… shall, according to its requirements, import from China modities enumerated in list “B” for a total amount of $ … (. dollars) 共和國(guó)根據(jù)需要從中國(guó)進(jìn)口附表 “ B”所列的商品，總值為 美元。 （ 2） “ according to”的意思為 “ 根據(jù) ……” 。 （ 3） “ enumerate” 在本句中需翻譯為 “ …… 附表上所列出的 ……” 。對(duì)未列入上述附表內(nèi)的商品的交換，并無(wú)限制之意。 5． Done in duplicate in Beijing on the 14th day of September 1999 in the English and Chinese languages, both texts being equally authentic. 本合同于 1999年 9月 14日在北京簽定，一式兩份，用中文和英文寫(xiě)成，兩種文本具有同等效力。 （ 2） “ in duplicate” 在本句中的意思是 “ 一式雙份 ” ，英語(yǔ)中有很多類(lèi)似的詞語(yǔ)，如 “ in triplicate, in quadruplicate……” 。 （二） 詞句分析 1． For good consideration, and in consideration of being employed by ____ (pany), the undersigned employee hereby agrees and acknowledges: 出于各方考慮，并鑒于被（公司）雇傭，我（簽署本協(xié)議的員工）同意并接受： （ 1） 本句中有兩個(gè) “ consideration” , 前一個(gè)在 “ For good consideration”中 , 因 為 “ consideration”前有形容詞 “ good”的修飾 , 所以短語(yǔ)譯成 “ 出于各方考慮比較通順 ,“in consideration of……” ，意思為 “ 考慮到 …… ，鑒于 ……” 。 （ 2） “ hereby” 是商務(wù)合同文體中的正式用法，意思為 “ by this means (以此用法，由此 )”。 the said trade secrets consisting but not necessarily limited to： 受雇期間可能被透露有關(guān)公司的商業(yè)秘密；上述商業(yè)秘密包括但不限于： （ 1）本句由于是協(xié)議文體中的一部分，所以用了多個(gè)跟 “ I”有關(guān)的詞匯。 “ during the course of my employment……” 意為 “ 在本人被雇傭期間 ……” 。 e. g. The said trade term seems acceptable to me. 上述貿(mào)易條款在我看來(lái)是可以接受的。 “ shall”在本句中約定了當(dāng)事人的義務(wù) , 翻譯時(shí)可按照中文的翻譯習(xí)慣省略。大多數(shù)情況下可以譯成 “ 將 ……” , “not…… or……” 是合同中常見(jiàn)的一種表達(dá)方式，目的是使行文更為嚴(yán)謹(jǐn)，翻譯時(shí)需完整，不可省略。 （ 1） “ in any way to the Company’s business”的意思為 “ 任何與公司業(yè)務(wù)有關(guān)的 ” ，其中， “ in any way……” 意思為 “ 任何的 ……” 。意思為 “ of which (關(guān)于那個(gè) )”。 （ 1） “ notify…… . of……” 的意思為 “ 通知 ……” 。 e. g. You are not entitled to unemployment benefit if you have never work. 從未參加過(guò)工作，就沒(méi)有資格領(lǐng)取失業(yè)救濟(jì)金。法律文件是規(guī)定締約各方應(yīng)該做些什么，而不是提出問(wèn)題和進(jìn)行商榷。其中，完整長(zhǎng)句的使用可以準(zhǔn)確界定這種權(quán)利和義務(wù)關(guān)系，排除被曲解或誤解的可能性。因此在翻譯長(zhǎng)句時(shí)，首先要弄清楚原文的結(jié)構(gòu)，找出整個(gè)句子的中心內(nèi)容及其各層意思，然后分析幾層意思之間的相互邏輯關(guān)系（因果，時(shí)間順序等），再按照漢語(yǔ)特點(diǎn)和表達(dá)方式，正確地翻譯出原文的意思，不要局限于原文的形式。 第二節(jié) 翻譯技巧 一 . 順譯法 所謂順序法是指按時(shí)間的先后順序，邏輯的先后安排來(lái)翻譯。買(mǎi)方收到通 知后至少在開(kāi)箱檢驗(yàn)日期前 20天將檢驗(yàn)日期通知賣(mài)方，并為賣(mài)方檢驗(yàn)人 員提供檢驗(yàn)工作的便利條件。 第二節(jié) 翻譯技巧 2． If necessary, the Seller shall send in the 18th month after signing the Contract at his own expense technical personnel to China to discuss the Buyer’s final civil design and if there are revisions regarding the final information of civil engineering, both parties shall discuss and reach an agreement on the consequences thus incurred in a protocol.
