本合同下列術(shù)語應解釋為:1）“合同”系指買賣雙方簽署的合同中載明的買賣雙方達成的協(xié)議，包括所有的附件、附錄和上述文件所提到的構(gòu)成合同的所有文件，但各方在協(xié)議中明確指明不作為各方實質(zhì)性權(quán)利義務(wù)約定，而僅作為履行相關(guān)程序而訂立的格式文件除外。3）“貨物”系指賣方根據(jù)本合同規(guī)定須向買方提供的一切設(shè)備、機械和/或其它材料。5）“伴隨服務(wù)”系指根據(jù)本合同規(guī)定賣方承擔與供貨有關(guān)的輔助服務(wù)，如運輸、保險以及其它的伴隨服務(wù)，例如設(shè)計、安裝技術(shù)指導、調(diào)試、提供技術(shù)支持、培訓和合同中規(guī)定賣方應承擔的其它義務(wù)。7）“買方”系指在合同條款中指明的購買貨物和服務(wù)的單位，指四川省攀西靈山旅游投資開發(fā)有限公司 。9）“買方進口代理”系指為買賣雙方此次設(shè)備進口提供買方進口代理服務(wù)的公司，指10）“項目現(xiàn)場”系指本合同項下貨物安裝、運行的現(xiàn)場，指中國四川冕寧縣靈山景區(qū)索道的施工現(xiàn)場 。12）“天”指日歷天數(shù)。1 DEFINITIONS In this contract, the following terms shall be interpreted as indicated:1) “The Contract” means the agreement entered into between The Buyer and Seller, as recorded in the Contract signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein, with the exception of those format documents as specified in the agreement not for substantial rights and obligation binding of the parties whereas for implementing relevant procedures only.2) “The Contract Price” means the price payable to The Seller by The Buyer under the Contract for the full and proper performance of its contractual obligations.3) “The Goods” means all of the equipment, machinery, and/or other materials, which The Seller is required to supply to The Buyer under the Contract.4) “The Incidental Documents” means those documents and materials that shall be provided when the contractual equipment leaves the factory in accordance with the laws of People’s Republic of China, including the design document as required by the safety technical code, product quality qualification certificate, installation usage and maintenance instruction, and other document needed for supervision inspection documentary evidence.5) “The Incidental Services” means those services ancillary to the supply of the Goods, such as transportation and insurance, and any other incidental services, such as design, installation supervision, missioning, provision of technical assistance, training, and other such obligation of The Seller covered under the Contract. 6) TCC means the Terms and Conditions of this Contract.7) The
