【正文】 為業(yè)主守信的承包商承擔(dān)其責(zé)任。設(shè)備及材料以業(yè)主名義購(gòu)買的，由業(yè)主與材料、設(shè)備供應(yīng)商簽訂采購(gòu)合同，業(yè)主直接向材料、設(shè)備供應(yīng)商支付貨款或業(yè)主委托承包商向材料、設(shè)備供應(yīng)商采購(gòu)，業(yè)主承擔(dān)采購(gòu)合同的相關(guān)權(quán)利義務(wù)，承包商負(fù)責(zé)協(xié)助業(yè)主進(jìn)行材料、設(shè)備的驗(yàn)收和監(jiān)督。為了降低項(xiàng)目運(yùn)營(yíng)成本，設(shè)備及可能的材料名義買方可以為業(yè)主。所有供貨材料、設(shè)備，以及本合同項(xiàng)下的工作均應(yīng)按照業(yè)主批準(zhǔn)的最終設(shè)計(jì)生產(chǎn)并/或?qū)嵤?n) Evaluate, negotiate and enter into subcontracts with the SubContractors, Consultants and Suppliers. All materials and equipment to be supplied and all works to be done under this Contract shall be manufactured and/or executed in accordance with the approved Final Design provided by the Owner. The Owner can attend technical evaluation of the Suppliers. For operation cost saving, Equipment and some material will be purchased by using the Owner’s name. The Owner can remend supplier to but Contractor make the final decision. Equipment and materials purchased in the name of the owner, with materials, equipment suppliers to sign purchasing contract by the owner, the owner directly to materials, equipment supplier payment or owner entrust Contractor to materials, equipment suppliers, procurement owner take on purchasing the related rights and obligations under the contract, Contractor assist the owner for acceptance of materials, equipment and supervision.工程主體部分不允許分包給其他第三人，非主體部分進(jìn)行分包須經(jīng)過(guò)業(yè)主書面同意。(l) Manage safety related issues and to provide safety pliance plan and implementation of safe working procedures on the job site.負(fù)責(zé)安全管理，制定安全規(guī)章制度，現(xiàn)場(chǎng)推行安全工作程序。 maintenance manuals and warranty certificates (issued in the name of the Owner) where applicable.適用情況下在工程竣工日向業(yè)主交付全套竣工圖、操作與維護(hù)手冊(cè)、質(zhì)保證書（以業(yè)主名義）。(i) Perform the starting up, calibrating and certificate on where applicable.適用情況下進(jìn)行啟動(dòng)、校準(zhǔn)與認(rèn)證程序。(g) Perform the construction, installation and testing of the facility in accordance with the time schedule for pletion.按照時(shí)間進(jìn)度表進(jìn)行設(shè)備的施工、安裝與調(diào)試。(e) Check, coordinate and approve shop drawings for assigned scope of works.檢查、協(xié)調(diào)并批準(zhǔn)合同工作的加工圖。(以提交給政府部門，滿足政府和業(yè)主要求)。(c) Delivering to the Owner after pletion of the final design (4) sets of the Subcontactors and Suppliers designs and drawings, a set of soft copy as well. All documents provided by Contractor shall be in Chinese and English languages. Where applicable, designs shall be in both Chinese and the English languages (for governmental submission, meet the requirements of the government and the owner).向業(yè)主提供4套施工圖設(shè)計(jì)文件，包括一套電子版文件。 Without limiting the generality of Clause , Contractor’s scope of Contract Works shall include the following:，承包商的合同工作范圍包括以下：(a) Preparing and submitting to the Owner and governmental authorities for approval of designs, drawings and specifications where applicable.按規(guī)定向業(yè)主和有關(guān)政府部門準(zhǔn)備和提交供審批用的設(shè)計(jì)文件、圖紙和技術(shù)條件書。3. Appointment of Contractor 對(duì)Contractor的指定 The Owner hereby agrees to the appointment of Contractor to undertake the Contract Works with effect from the date hereof and Contractor hereby accepts the appointment on the terms and conditions of the Contract.業(yè)主同意指定由承包商承擔(dān)合同規(guī)定的工作，自合同簽訂生效之日起，承包商同意按照合同條款接受任命。 and 經(jīng)雙方簽署的本協(xié)議的附件；(c) Such other letters or documents as the parties may agree and attach as Contract Documents, endorsed or signed by both parties. 雙方同意的其它函件或文件，簽署后成為合同文件。 In the event of any conflict between the Contract Documents, the order of priority in interpreting them shall, unless otherwise mutually agreed, be as follows:除非雙方另有約定，合同文件出現(xiàn)任何沖突，優(yōu)先執(zhí)行的次序如下：(a) This Agreement。2. Contract Documents 合同文件 The following Contract Documents shall form the Contract between the parties hereto:下列合同文件構(gòu)成當(dāng)事人雙方之間的合同：(a) This Agreement and the Annexure hereto。 The headings, marginal notes and notes for guidance in this Contract shall not be deemed to be part thereof or taken into consideration in the interpretation or construction thereof or of the Contract.本合同中作為引導(dǎo)的標(biāo)題、邊注和注釋不構(gòu)成合同的一部分，在對(duì)合同進(jìn)行解釋時(shí)不予考慮。 Words implying the singular also include the plural and viceversa where the context requires. The word “days” denotes working days unless expressly specified otherwise. “Working days” refers to the five (5) calendar days in a week excluding Saturdays, Sundays and Public Holidays.根據(jù)上下文，表示單數(shù)的詞語(yǔ)也可以表示復(fù)數(shù)，反之亦然。(t) “Substantial Completion Date” means the date that Contractor has successfully carried out and pleted in accordance with the requirements of the Contract which shall be the date acknowledged by the Project Manager“實(shí)際竣工日”指承包商已按合同要求成功地履行完成工程并通過(guò)項(xiàng)目經(jīng)理認(rèn)可的日期。(r) “Consultant” mean any consultants engaged by Contractor to perform any part of the Contract Works.“咨詢顧問(wèn)”指承包商雇傭的承擔(dān)部分合同工作的咨詢顧問(wèn)。(p) “Specifications” means the specifications set out in the Final Design.“技術(shù)規(guī)范”指最終設(shè)計(jì)階段確定的技術(shù)規(guī)范。(n) “Schedule of Rates and Prices” means the schedule of prices as described in Annex 10.“費(fèi)率表”指附件10列明的價(jià)格費(fèi)率。(l) “Concept Design” means the design documents in respect of each or the Facility Systems certified as such by the Project Manager. “概念設(shè)計(jì)”指由項(xiàng)目經(jīng)理鑒定的各設(shè)備系統(tǒng)的設(shè)計(jì)文件。(j) “Contractor” means and this expression shall include its successorsintitle and permitted assigns.“承包商”指 ，包括其法定繼承人及經(jīng)認(rèn)可的受讓人。(h) “Facility Systems” means the power equipment systems and relative equipments of Waste water treatment and corrosion workshop, supplied and installed for the Owner. “設(shè)備系統(tǒng)”指為業(yè)主建造、供貨并安裝的廢水站及腐蝕車間的動(dòng)力設(shè)備系統(tǒng)及相關(guān)設(shè)備。(f) “Project” means the Owner is desirous that certain works be executed by Contractor viz. the design, supply, delivery, installation, testing, missioning and start up of the plete facility systems.“工程”指業(yè)主欲讓承包商承擔(dān)指定的工程，即對(duì)整個(gè)廠房設(shè)備系統(tǒng)的設(shè)計(jì)、供應(yīng)、交貨、安裝、監(jiān)督、檢測(cè)、調(diào)試和啟動(dòng)。(d) “Date of Acceptance” means the date of the Certificate of Acceptance set out in Clause 17.“驗(yàn)收日期”指17款規(guī)定的驗(yàn)收證書簽發(fā)日。(b) “Contract Works” or “Works” means the overall designbuild work of the said facility systems in accordance with the Contract.
