WAIVER 棄權(quán) Except as herein otherwise specifically provided, the failure of either Party to insist on strict performance of any provisions of this agreement or to take advantage of any right hereunder, shall not be construed as a waiver of such provisions or right or a waiver of any subsequent performance thereof. ASSIGNMENT 轉(zhuǎn)讓 This Agreement is binding on and for the benefit of the Parties and their successors, transferees and assigns, but this agreement shall not be assigned or transferred by Seller or Buyer, in whole or in part, either voluntarily or by operation of law, without the written consent of the other Party being first obtained but such consent to assignment shall not be unreasonably withheld. 此協(xié)議對買賣雙方及其繼承人 ， 轉(zhuǎn)讓人都是有約束力的 ， 并基于雙方的利益 ， 但此協(xié)議不能由買方或者賣方部 分 或者全部 ， 自愿或者由于法律關(guān)系單方面轉(zhuǎn)讓 ， 必須有另一方同意轉(zhuǎn)讓的書面文件 ， 才可以轉(zhuǎn)讓 ， 此書面文件不能無理由被扣押 。由買方或賣方國家的任何主管當(dāng)局或商會根據(jù)實際情況做出的證明將被作為不可抗力存在和時間順延的依據(jù)。如果影響情況持續(xù)超過 3 個月，任何一方有權(quán)利拒絕履行合同義務(wù)，那么任何一方都不能要求相關(guān)的損失賠償。 11. FORCE MAJEURE 不可抗力 If at any time during the existence of this Contract either party is unable to perform whole or in part any obligation under this Contract due to war, hostility, military operation of any character, civil motion, sabotage, quarantine restrictions, acts of government, fire, floods, explosions, epidemics, strikes or other labor trouble, embargoes, then the date of fulfillment of any obligation shall be postponed during the time when such circumstances are operative. 在任何 合同履行期間內(nèi)，如果任何一方因戰(zhàn)爭、對抗、軍事行動、全民暴動或暴亂、檢疫限制、政府干涉、火災(zāi)、洪水、煤氣爆炸、傳染病、罷工或其他勞動沖突、禁運等原因而不能履行相應(yīng)的部分或全部的義務(wù)，那么履行義務(wù)的時限將順延直至情況改變。 Risk in the Coal shall pass from the Seller to the Buyer in accordance with the CFR provisions of INCOTERMS 2021 (as amended from time to time). 煤炭的風(fēng)險應(yīng)按照 INCOTERMS 2021(隨時修正 )的 CFR 條款由賣方轉(zhuǎn)移至買方。 Settlement for Demurrage / Despatch shall be made within thirty(30) days after the pletion of discharging based on the statement of facts of the vessel. 滯期費 /速遣費 應(yīng)在 卸貨完畢后的 30 天內(nèi)，基于船舶事 實記錄結(jié)清 。 Contract Number: Page 9 of 13 Seller shall pay to Buyer the vessel’ s Despatch incurred (if any) at the Discharging Port in accordance with the terms and conditions of the Charter Party. Desptach rate is USD5 per day or pro rata. 賣方應(yīng)按照租船合同的條款和條件向買方支付在卸貨港產(chǎn)生的船舶速遣費 (如果有的話 )。 Demurrage / Depstach滯期費 /速遣費 Buyer shall pay to Seller the vessel’s Demurrage incurred (if any) at the Discharging Port in accordance with the terms and conditions of the Charter Party. Demurrage rate is USD per day or pro rata. 買方應(yīng)按照租船 合同 的條款和條件向賣方支付在卸貨港產(chǎn)生 的 船舶 滯期費 (如果有的話 )。 The Seller shall undertake to load the contracted goods on board the vessel nominated by the seller within the time of shipment as stipulated in this Contract. 賣方應(yīng)負(fù)責(zé)將所訂貨物按照本合同所規(guī)定的裝船期內(nèi)裝上賣方所指定的 船舶 。 If coal quality reach rejection standards, Seller and Buyer shall negotiate in good faith to agree an equitable settlement for such shipment (which may include a reduction in price). 如果煤炭質(zhì)量達(dá)到拒收 標(biāo)準(zhǔn)，則賣方和買方應(yīng)基于善意原則，協(xié)商一致采取公正的措施處理該批貨物 (可能包括降價出售 )。
