【正文】 s Republic of China or the deffendant is Chinese legal person ， otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods .22．本合同使用的FOB、CFR、CIF、DDU 術(shù)語系根據(jù)國際商會《Incoterms 1990》2Versions : This contract is made out in both Chinese and English of which version is equally effective .Conflicts between these two language arising therefrom . if any ， shall be subject to Chinese version .23．文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準(zhǔn)。It will be governed by the law of the People39。仲裁裁決是終局的，對雙方均有約束力。1Force Majeure :The sellers shall not hold any responsibility for partial or total nonperformance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.20．爭議之解決方式：Disputes settlement :□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進(jìn)行仲裁。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China _________ Inspection Authority _________ Days after the arrival of the goods at the destination ， if the goods are found to be damaged ， missing or the specifications ， quantity， and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period， during the quality guarantee period， the buyers have rights to lodge claims against the sellers concerning the quality guarantee.18．延期交貨違約金1Late delivery and penalty除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對信用證有關(guān)條款進(jìn)行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。天內(nèi)憑上述檢驗機(jī)構(gòu)出具的證明書向賣方要求索賠。檢驗機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后The sellers shall have the goods inspected by _________Inspection Authority _________ days before the shipment and issued the Inspection Certificate .
