【正文】 第十五條備注：。如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)家仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。如乙方提出要求，甲方應(yīng)以掛號(hào)函向乙方提供由中國(guó)國(guó)際貿(mào)易委員會(huì)或有關(guān)機(jī)構(gòu)出具的事故證明文件。 第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負(fù)責(zé)任。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。第十一條裝運(yùn)條件： ?、佥d運(yùn)船只由甲方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船。 第一文庫(kù)網(wǎng) 信用證有效期為裝船后天在中國(guó)到期。該信用證憑裝運(yùn)單據(jù)在中國(guó)的中國(guó)銀行見(jiàn)單即付。 第七條目的口岸： 第八條貨物保險(xiǎn)：由甲方按發(fā)票金額投保。 第二條貨物數(shù)量： 第三條貨物單價(jià)：。 ： This contract signed in three copies， the seller holds one copy and the buyer hold two copies. 其它：本合同一式叁份，賣方執(zhí)壹份， 買方執(zhí)貳份。仲裁費(fèi)用由敗訴方承擔(dān)。按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。 17. ARBITRATION： Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both partied. Arbitration fee shall be borne by the losing party. 仲裁：與此合同有關(guān)的爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決。罰金的金額不超過(guò)遲交貨的合同貨物部分的價(jià)值的5%，%計(jì)算，少于7日的增加天數(shù)按7日計(jì)。如果事故持續(xù)十周，買方有權(quán)取消該合同。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府*部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問(wèn)題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。 14. CLAIMS： Within 90 days after the arrival of the goods at destination， should the quality， specification， or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance pany or not the owners of the vessel are liable， the Buyers shall， on the strength of the Inspection Certificate issued by the State Administration for EntryExit Inspection and Quarantine of . or the site inspection report issued by the seller‘s engineer， have the right to claim for replacement with new goods， or for pensation， and all expenses （such as inspection charges， freight for returning the goods and for sending the replacement， insurance premium， storage and loading and unloading charges etc.） shall be borne by the Sellers. As regards quality， the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine， damages occur in the course of operation by reason of inferior quality， bad workmanship or the use of inferior materials， the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration
