【正文】 沒有訂立合同根本就談不上要人負(fù)責(zé)的問題。善意是 《 合同法 》 誠實(shí)信用原則的體現(xiàn)，沒有過失是相對(duì)人對(duì)自己行為應(yīng)盡到慎重小心的義務(wù)。出于對(duì)善意的相對(duì)人的合法權(quán)益保護(hù)，法律特別規(guī)定表見代理有效，它不需要經(jīng)過追認(rèn)就產(chǎn)生效力，被代理人不得拒絕履行代理行為對(duì)自己產(chǎn)生的法律后果。 雙方爭(zhēng)執(zhí)不下。后來因?yàn)樵O(shè)備有故障，根本就不能正常運(yùn)行，而且因機(jī)器故障致一名職工嚴(yán)重受傷。同時(shí)陳某將一份載有上述內(nèi)容、由陳某自己簽字、以三石公司為賣方的合同郵寄給三木公司。 case 陳某是天津三石公司供銷科長，任職期間辦理了三石公司與上海三木公司之間的供銷、加工等多方面的業(yè)務(wù)。 法庭認(rèn)為該合同具備合同的基本條款，雙方的意思表示也是一致，其他方面也符合法律的規(guī)定，應(yīng)該認(rèn)定從郭某和李某簽字時(shí)成立。 ” 本案在審理時(shí)，農(nóng)資公司的經(jīng)理矢口否認(rèn)他讓秘書李某簽字，否定自己當(dāng)時(shí)在場(chǎng)，聲稱自己不知道這回事。雙方僵持不下。農(nóng)資公司的經(jīng)營人員通知經(jīng)理匡某，匡某才想起與郭某的合同。匡某同意 .合同上約定 ,化肥廠出售 10噸優(yōu)質(zhì)鉀肥繪農(nóng)資公司 ,價(jià)格為每噸 2022元 .共 2萬元 ,化肥廠在 3月 15日之前送貨上門 ,貨到付款 .李某與匡某回到公司后 ,因?yàn)槊τ谀杲K收尾工作 ,把與郭某的合同一事忘記了。李某按照匡某的意思簽了名。 ? 請(qǐng)問：王某是否有代理權(quán)？為什么？誰應(yīng)對(duì)合同承擔(dān)責(zé)任，承擔(dān)哪些責(zé)任？ ? 評(píng)析：王某在簽訂合同時(shí)無代理權(quán)，但絲綢廠驗(yàn)貨入庫，表明對(duì)合同已經(jīng)默許并開始履行，即對(duì)王某的行為予以追認(rèn)，無權(quán)代理行為經(jīng)追認(rèn)后具有代理的法律效力，故合同生效，絲綢廠應(yīng)該對(duì)合同長石責(zé)任，將貨款交給張某，并償付逾期付款的違約金。王某以經(jīng)辦人身份在合同上簽字。 ? 請(qǐng)問：本案中王某的損失應(yīng)由誰負(fù)責(zé)賠償？為什么？ Chapter5 The law of Agency Teaching objective: : of agency relationships of agency in agency relationships ’s duties of agent’s authority in agency relationships of agency Power of attorney ?
