【正文】 mic and Trade Arbitration Commission for arbitration in accordance with the arbitration rules and procedures of the said Arbitration Commission. The arbitration shall be conducted by its Guangzhou SubCommission in Guangzhou or by its Shanghai SubCommission in Shanghai at the Claimant’s option. The decision made by the Commission shall be accepted as final and binding upon both parties, neither party shall seek resource to a court or other authorities to appeal for revision of the decision. The fee for arbitration shall be borne by the losing party unless otherwise awarded by the Commission. 18 法律適用：本合同之簽訂地、或發(fā)生爭(zhēng)議是貨物所在地在中華人民共和國(guó)境內(nèi)或被 述 人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定 外，適用《聯(lián)合國(guó)國(guó)際貨物銷售合同公約》，但中國(guó)予以保留的除外。 Law application: It shall governed by the law of People’s Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People’s Republic of China or the defendant is Chinese legal person, otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods excluding the reservation clauses of China. 19 本合同使用的術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)《 INCOTERMS 2021》。 The terms in the contract based on INCOTERMS 2021 of the International Chamber of Commerce. 20 文字：本合同中英文具有同等法律效力，如文字解釋有異議，應(yīng)以中文本為準(zhǔn)。 Versions: This contract is made out in both Chinese and English of which version is equally effective.
