【正文】 stipulated in Clause 16,The Buyers shall have the option to cancel this contract and the Sellers shall be reaponsible for the Buyer?s losses arising there alternatively,the Sellers may postpone ,with Buyers ?coasent .delivery on the condition that the Sellers pay to the Buyers a penalty,which shall be deducted by the paying bank at the time of negotiation for payment ,The penally,however,shall not exceed 5% of the total value of the goods involved in the late rate of Penalty is charged at % for every seven days ,add days less than seven days should be counted as seven days . 1仲裁：凡是因?yàn)閳?zhí)行合約或與合約有關(guān)事項(xiàng)所發(fā)生的爭執(zhí)，雙方應(yīng)協(xié)商解決，如協(xié)商不能解決時(shí)，應(yīng)提交北京中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外 貿(mào)易仲裁委員會(huì)根據(jù)中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外仲裁委員會(huì)的仲裁程序暫行規(guī)則進(jìn)行仲裁，仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)用除仲裁委員會(huì)另有決定時(shí)，由敗訴一方負(fù)擔(dān)。 Arbitration:Any dispute in connction with this Contract or the execution thereof shall be settled by case no settlement can be reached the case in dispute shall then be submitted for aibitralion to Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade at Beijing in accordance with the provisional ruler of procedure of the foreign trade Arbitration Commission of the arbitration shall be borne by the losing party unless otherwise awarded by the arbitration mission. 1其它條件：對(duì)本合同中的任何變更，均由雙方簽署文件后有效，任何一方無權(quán)將合同轉(zhuǎn)讓給第三方。自合同簽訂后，以前有關(guān)未批交易的函電均無效。 Other conditions : Any alterations and additions to this Contract shall be valid only if made out in writing and duly signed by both parties .Neither party is entitled to transfer its right and oblifations under this contract to a third party without a written consent thereto being obtained from the other party, After the signing of this Contract all preceding negotiations and correspondence pertaining to same shall bee null and void. 20．備注： Remarks:
