of this Agreement and is more particularly described in Clause 2 of Annex 1 attached hereto。指甲方根據本協(xié)議的條款和條件向乙方出租的物業(yè),詳見本協(xié)議附件一的第2條;Lease Term“租賃期限”means the period of lease under this Agreement, which mences from the Lease Commencement Date and is more specifically provided in Clause 3 of Annex 1 attached hereto。指本協(xié)議項下的自租賃起始日起的租賃期間,詳見本協(xié)議附件一的第3條;Management Fee“物業(yè)管理費”means the management fees payable by Party B to the Management Office in accordance with relevant provisions of this Agreement and the amount of Management Fee per month per square meter payable under this Agreement is specified in Clause 5 of Annex 1 attached hereto。指乙方根據本協(xié)議有關條款應向物業(yè)管理公司支付的物業(yè)管理費用,本協(xié)議項下每平方米每月的物業(yè)管理費見附件一第5條的規(guī)定;Management Office“物業(yè)管理公司”means the property management pany designated by Party A from time to time to manage the Office Building including Common Areas and Common Facilities。指甲方不時指定的對辦公大樓(包括公共區(qū)域和公共設施)提供物業(yè)管理服務的物業(yè)管理公司;PRC“中國”means the People39。s Republic of China。指中華人民共和國;Rent“租金”means the rent payable by Party B to Party A in accordance with this Agreement, and the amount of Rent per month payable under this Agreement is specified in Clause 4 of Annex 1 attached hereto。指乙方根據本協(xié)議應向甲方支付的租金,本協(xié)議項下每月的租金見附件一第4條的規(guī)定;RentFree Period“免租期”means, where applicable to this lease, certain time period(s) during the Lease Term (specified in more details in Annex 1 attached hereto) as granted by Party A to Party B in accordance with relevant provisions of this Agreement, during which Party B shall be exempted from paying the Rent to Party A but not property management fees, public utilities fees, and other fees payable herein by Party B。如適用于本租賃,指甲方根據本協(xié)議有關條款在租賃期限內給予乙方的一段時間(詳見本協(xié)議附件一),在此期間乙方無須向甲方支付租金, 但乙方仍須要支付物業(yè)管理費, 公用事業(yè)費及本協(xié)議規(guī)定的應由乙方支付的其它費用;Users“使用人”means the staff and employees, agents, invitees, guests, contractors and visitors of Party B and other occupiers or users of the Leased Premises。指乙方的職工、雇員、代理人、受邀請者、客人、承包商和訪客以及出租物業(yè)的其他居住者或使用者;Working Day“工作日”means any day which is not Saturday, Sunday or a public holiday in the PRC.指除星期六、星期日和其他中國公共假日外的任意一天。References to Clauses and Annexes shall mean the Clauses and Annexes of this Agreement. Title and subtitle headings are inserted for convenience of reference only and shall not affect the interpretation of the provisions.被援引的條款和附件是指本協(xié)議的條款和附件。標題和副標題的使用僅是為了援引的方便,不應對條款的解釋產生任何影響。 Party A hereby lets and Party B hereby takes the Leased Premises on the terms and conditions of this Agreement. Party B shall ply with the Fifth Square Tenant FitOut Guide and The Fifth Square Tenant Handbook as well as other rules relating to the use of the Common Areas and the Common Facilities formulated and/or amended from time to time by Party A and/or the Management Office, which, together with their updates or amendments as made by Party A and/or the Management Office and as informed upon written notice to Party B from time to time, shall be deemed to be incorporated into this Agreement. 根據本協(xié)議的條款和條件,甲方茲出租、乙方茲承租出租物業(yè)。乙方應遵守The Fifth Square租戶裝修指南和The Fifth Square租戶手冊以及其他由物業(yè)管理公司和/或甲方不時制訂和/或修改的關于公共區(qū)域和公共設施使用的規(guī)定。上述指南、手冊和規(guī)定以及不時由物業(yè)管理公司和/或甲方就其作出并書面通知乙方的更新和修改應被視為并入本協(xié)議。 Party B shall have the right to use the Common Areas and Common Facilities together with Party A and the other tenants and occupiers of the Office Building (as the case may be) during the Lease Term, provided that Party B shall ply with this Agreement (for the avoidance of doubt, including The Fifth Square Tenant FitOut Guide and The Fifth Square Tenant Handbook) and other rules relating to the use and management of the Common Areas and the Common Facilities formulated and/or amended from time to time by Party A and/or the Management Office.乙方有權在租賃期限內與甲方以及其他租戶和居住者一起使用辦公大樓內的公共區(qū)域和公共設施(視具體情況而定),前提是乙方遵守本協(xié)議(為避免疑問,應包括The Fifth Square租戶裝修指南和The Fifth Square租戶手冊)以及其他由物業(yè)管理公司和/或甲方不時制訂和/或修改的關于公共區(qū)域和公共設施使用及管理的規(guī)定。 Party A and Party B mutually agree that the gross floor area of the Leased Premises specified in Clause 2 of Annex 1 to this Agreement is definitive gross floor area for calculation of the Rent and that neither party shall, during the entire Lease Term or the term of any lease renewal, claim for any variation or change to the specified floor area or request for any remeasurement of such floor area.甲、乙雙方同意,附件一第2條所規(guī)定的出租物業(yè)的建筑面積是為計算租金而使用的確定的建筑面積。在整個租賃或續(xù)租期限內,任何一方都不應要求更改此建筑面積或對面積進行重新測量。CHAPTER 2 LEASE TERM AND DELIVERY OF THE PREMISES 第二章 租賃期限和房屋交付 Party B will possess the use right of the Leased Premises during the Lease Term and shall use the Leased Premises in accordance with this Agreement.乙方應在租賃期限持續(xù)地擁有出租物業(yè)的使用權,并應按照本協(xié)議的約定使用出租物業(yè)。 Party B shall enjoy a RentFree Period (if applicable, see Annex I) during which Party B shall be exempted from paying Rent to Party A for the lease of the Leased Premises by Party B. However, Party B shall make other payments in full as stipulated in this Agreement, including but not limited to the Management Fee and fees for various utilities (including water, electricity and telephone charges) and other charges of The Fifth Square (as specified in The Fifth Square Tenant Handbook) in accordance with this Agreement. Save for the exemption from paying Rent, Party B shall, during the RentFree Period, perform all its obligations under and observe all provisions of this Agreement (for the avoidance of doubt, including The Fifth Square Tenant FitOut Guide and The Fifth Square Tenant Handbook) and other rules relating to the use of the Common Areas and the Common Facilities formulated and/or amended from time to time by Party A and/or the Management Office (including those concerning Party B’s obligations during the Lease Term). 乙方應享有免租期(如有, 詳見附件一),在此期間,乙方無須就租賃出租物業(yè)向甲方支付租金,但應全額支付本協(xié)議中規(guī)定的其他費用,包括但不限于物業(yè)管理費、各項公用事業(yè)費(包括水、電和電話費)和The Fifth Square的其他收費(包括The Fifth Square租戶手冊所示)。除免付租金外,乙方應在免租期內履行其在本協(xié)議(為避免疑問,應包括The Fifth Square租戶裝修指南和The Fifth Square租戶手冊)下的一切義務和遵守本協(xié)議的一切規(guī)定以及其他由甲方和/或物業(yè)管理公司不時制訂和/或修改的
