【正文】 h Supplier or Party B shall pay to the other a penalty for breach at the rate of % of the total value of goods in relation to late delivery or payments in arrears, for each delayed day, as well as an appropriate pensation for any loss incurred by the other as a result thereof. In case such delay continues for a period of ___days, the other party is free to cancel related orders and claim against the breaching party for a penalty for breach in the sum of _______(RMB).發(fā)貨方由于交貨數(shù)量不足，應(yīng)償付乙方此批貨款總值10％的違約金，造成乙方損失的，還應(yīng)賠償乙方的損失。乙方如不按交貨期限收貨或拒收不合格產(chǎn)品，亦應(yīng)按償付發(fā)貨方此批貨款總值10％的違約金。任何一方提出增減合同數(shù)量，變動交貨時間的，應(yīng)提前____天以書面形式通知對方，并征得同意。否則應(yīng)承擔違約責任。The Supplier shall pay to Party B a penalty for breach at the rate of 10% of the total value of goods involved, for any insufficiency in or shortfall of delivered goods, as well as appropriate pensation for any loss that may be caused thereby. In addition, Party B shall also pay to the Supplier a penalty at the rate of 10% of the total value of goods that Party B fails to receive delivered goods or reject any unqualified products within a specified time limit. In case either party intends to make increase or decrease in contract quantity, or to make proper change to delivery time, such party shall give the other party a written notice of ____ days for approval or consent, in case not, such party which is obliged to do so shall be held liable for appropriate liabilities for breach.發(fā)貨方所發(fā)產(chǎn)品有規(guī)格不符或質(zhì)量問題等情況，乙方有權(quán)拒付貨款，但須先行辦理收貨手續(xù)，并代為保管和立即通知發(fā)貨方。因此所發(fā)生的一切費用及損失，由發(fā)貨方承擔。Party B is entitled not to pay for any delivered goods that may be determined not in conformity with stated specifications or that may not be in line with related quality standards, etc, provided, however such delivered goods shall be received by , and in custody of Party B, as well as Party B shall give a prompt notice to the Supplier in that regard, with any and all expenses and losses that may arise therefrom, to be borne by the Supplier.乙方、丙方和丁方違反本合同第八條約定的，甲方可直接解除本合同，甲方或受損害方并可要求違約方支付人民幣 　　　元的違約金。如該違約金不足以彌補甲方或受損害方因此遭受的損失的，則違約方還應(yīng)就不足部分向甲方或受損害方承擔賠償責任。Party A may terminate this Contract promptly where Party B, Party C and/or Party D are or is in breach of Article 8 as contained herein, in addition, Party A or related damaged party may claim against the breaching party for a penalty for breach in the sum of _____RMB. In case such penalty is insufficient to cover the loss incurred or sustained by Party A or related damaged party as a result thereof, then the breaching party or parties is or are obliged to pay to the indemnified party the difference.除上述情形外，本合同任何一方違反本合同其他約定的（包括明示約定和附隨義務(wù)），應(yīng)在收到相對方書面糾正通知起　　日內(nèi)糾正，逾期仍不糾正的，相對方可要求違約方支付人民幣　　　　元的違約金。如該違約金不足以彌補相對方因此遭受的損失的，則違約方還應(yīng)就不足部分向相對方承擔賠償責任。Except for circumstances set forth hereinabove, any party hereto which falls in breach of other provisions contained herein, whether the terms expressly stipulated or obligations incidental thereto, shall make proper rectification within ___days upon receipt of written notice from the other party requesting for such rectifications, in case not, the other party may claim against the breaching party for a liquidated damages in the amount of _____RMB. In case such penalty is insufficient to cover the loss incurred or sustained by such other party as a result thereof, then the breaching party or parties shall pay the difference to the same.第十條 爭議處理 Article 10 Dispute SettlementUnless otherwise agreed to by the parties, any dispute arising out of or in connection with the transaction contemplated by the parties hereunder shall be submitted to and resolved by China International Economic and Trade Arbitration Committee for arbitration in Shanghai in accordance with the arbitration rules then in force. The arbitral award shall be final and binding upon both parties.與本條款項下交易相關(guān)的或由其引起的一切爭議應(yīng)當提交中國國際經(jīng)濟貿(mào)易仲裁委員會上海分會依據(jù)其現(xiàn)行仲裁規(guī)則裁決，雙方另有約定的除外。仲裁裁決為最終裁決，對雙方具有約束力。第十一條 其他約定 Miscellaneous本合同用中英文兩種文字寫成，兩種文字具有同等效力。本合同正本一式四份，雙方各二份。The Contract is made in two counterparts each in Chinese and English, each of which shall deemed equally authentic. The Contract is in four (4) originals, two (2) for the Buyer and two (2) for the Seller.
