Forty percent (40 %) of the fee stated in Article B c), shall be paid by JSPCL to TCM under the Letter of Credit issued by JSPCL’s bank against the following documents:(a) One (1) copy of the courier receipt signed by JSPCL upon delivery to JSPCL of the abovementioned HAZOP and SIL Classification Report。(b) five (5) originals of manually signed mercial invoice issued by the TCM indicating the amount to be paid and the bank account coordinates. Forty percent (40 %) of the fee stated in Article B c), shall be paid by JSPCL to TCM under the Letter of Credit issued by JSPCL’s bank against the following documents:(e) One (1) copy of the courier receipt signed by JSPCL upon delivery to JSPCL of the abovementioned DETAILED DESIGN documents。(f) five (5) originals of manually signed mercial invoice issued by the TCM indicating the amount to be paid. Ten percent (10 %) of the Fee for DETAILED DESIGN documents stated in Article B c), shall be paid by JSPCL to TCM under the Letter of Credit issued by JSPCL’s bank against the following documents:(g) Copy of the Certificate of ACCEPTANCE duly signed by the authorized representative of the Parties。 and(h) five (5) originals of manually signed mercial invoice issued by the TCM indicating the amount to be paid . The Technical Service Fees under Article D shall be paid by JSPCL to TCM and BASELL, monthly invoices tied to the calendar days actually spent during the preceding month in accordance with the per diem rate as stated in Article and within forty five (45) days after JSPCL has received the following documents submitted by TCM or BASELL, as applicable, and found them in order:(a) two (2) copies of the time sheets signed by the general representatives of TCM or BASELL, as the case may be。(b) five (5) originals of manually signed mercial invoices issued by the TCM or BASELL, as the case may be, indicating the amount to be paid. Late payments not caused by a reason attributable to each of TCM or BASELL (as the case may be), shall accrue monthly pound interest at a rate of six percent (6 %) per year above the “United States Prime Rate” published in the “Wall Street Journal” as in effect on the first business day of the month in which reference to such rate is required. Interests shall accrue on a daily basis and shall be paid together with the overdue amount, with no need of demand by TCM or BASELL (as applicable) after thirty (30) days, accounting from the due date. TCM and BASELL (as applicable) will be entitled to extend the delivery schedule of TECHNICAL DOCUMENTATION, Technical Service and technical training mensurate with any delay in payments. JSPCL shall have the right to deduct from any payment the withholding taxes in accordance with Article 12, DIRECT COSTS and liquidated damages, if any, in accordance with Article . All bank charges, dues, fees and missions imposed on payments under this CONTRACT by banks in the People’s Republic of China shall be borne by JSPCL. All bank charges, dues, fees and missions imposed by any bank out of the People’s Republic of China shall be borne by TCM or BASELL, as the case may be. JSPCL shall keep accurate and plete records of all data necessary for the determination of any EXPANSION under this CONTRACT. BASELL and its representatives may inspect at reasonable times and intervals and upon request made reasonably in advance, JSPCL’s the aforementioned records. The costs of the inspection shall be borne by BASELL, unless the inspection reveals that JSPCL should have sent, or has made an error in, the notification pursuant to Article , in which case they shall be borne by JSPCL.4. DELIVERY TERMS BASELL and TCM, each with reference to its respective scope of work, shall be obliged to provide JSPCL with TECHNICAL DOCUMENTATION, drafted in metric system and in English unless the Technical Appendix requires a different system, and deliver to JSPCL by express courier. The contents, number of copies, and delivery schedule are detailed in Appendix 6. TECHNICAL DOCUMENTATION provided by BASELL and TCM, as the case may be, shall be properly packed to withstand numerous handling, longdistance transportation and to be protected against damages from moisture and rain. Each package of TECHNICAL DOCUMENTATION shall contain a list indicating the following information: Contract No.: Consignee:. Destination: to be noticed Shipping Marks: N/A Gross Weight and Net Weight (kg) Case No./Piece No.: Each of BASELL and TCM, as the case may be, shall dispatch, together with each package two (2) copies of the detailed list of TECHNICAL DOCUMENTATION marked with the order No., documentation No., documentation titles and pages. One (1) week before dispatching TECHNICAL DOCUMENTATION, each of BASELL and TCM, as the case may be, shall advise JSPCL by fax of the approximate pieces of parcel, approximate gross weight and the expected date of arrival at JSPCL’s facility.Not later than one (1) working day after dispatching each batch of TECHNICAL DOCUMENTATION, each of BASELL and TCM, as the case may be, shall inform JSPCL by fax of such details as Contract No., dispatching date, express courier bill No., documentation No., package No., and weight. In the meantime, each of BASELL and TCM, as the case may be, shall dispatch by express mail to JSPCL copies of the express courier receipt and detailed list of the dispatched TECHNICAL DOCUMENTATION. The date stamped on courier service document on the BASELL’s or TCM’s receipt, as the case may be, shall be regarded as the actual delivery date of TECHNICAL DOCUMENTATION.
