ore additional working days. “Confidential information” shall mean (a) any information, including but not limited to, the information of the Project, drawings, management information, personnel, research, development contents and design in relation to the Agreement, disclosed to or learned by Party B pursuant to this Agreement. Party B acknowledges that in the course of the performance of the Agreement, it may obtain confidential information from Party A. Party B will, at all times, both during the term of this Agreement and at all times thereafter, keep in confidence and trust all of the Party A’s confidential information received by it. Party B will not use the confidential information other than as necessary to perform its obligations or exercise its rights under this Agreement. Party B warrants that the design work and the methods used to fulfill the design work do not infringe any third Party intellectual property right or other rights of any third Party. If such infringement occurs, Party A has the right to terminate the Agreement or request Party B to make alternative design. Notwithstanding the foregoing, Party A has the right to request Party B to reimburse Party A any and all costs and losses caused. Party B warrants that the design works delivered by Party B do not breach any demands or targets of this Agreement, relevant laws and regulations, or architecture tradition. If any such breach occurs, Party B shall reimburse any and all costs and losses caused. If Party B refuses to correct any defect of the design works, Party A has the right to suspend the relevant payment until Party B corrects the defect.6:Fees, Payment and Delivery FeesThe total fee for the Project is $255, which includes but is not limited to concept design, design development, construction documents review and constructive administration. The service fee is inclusive of a maximum of twenty twoday trips to Shenzhen or DongGuang in connection with this project, including airfares. of the Design and PaymentAll taxes and duties to be paid due to this service shall be borne by Party A. Party shall pay Party B for its services in accordance with the following chart after receipting of the relevant invoice and acceptance of the design work.階段Phase時間節(jié)點TimeYMD階段付款算與費用總計Fees / Payment付款時間Pay Time1啟動金Mobilization合同簽訂Signature signed$25,(美元,貳萬伍仟元整)$25,合同生效后 25 個工作日內25 workdays after signature signed2總平面景觀概念方案設計完成Landscape Master Plan Design 20100815$40,(美元,肆萬元整)$40,總平面景觀概念方案設計完成并獲甲方認可后的 25 個工作日內25 workdays after Master Plan Design’s written notification.3示范區(qū)方案深化設計完成Showing area Conceptual Design20100910$30,(美元,叁萬元整)$30,示范區(qū)方案深化設計完成并獲甲方認可后的 25 個工作日內25 workdays after Showing area Conceptual Design’s written notification.4示范區(qū)擴初設計完成Showing area Design Development20100920$30,(美元,叁萬元整)$30,示范區(qū)擴初設計完成并獲甲方認可后的 25 個工作日內25 workdays after Showing area Design Development’s written notification.5非示范區(qū)方案深化設計完成Nonshowing area Conceptual Design20101005$45,(美元,肆萬伍仟元整)$45,非示范區(qū)方案深化設計完成并獲甲方認可后的 25 個工作日內25 workdays after NonShowing area’s Conceptual Design written notification.6非示范區(qū)擴初設計完成Nonshowing area Design Development20101020$50,(美元,伍萬元整)$50,非示范區(qū)擴初設計完成并獲甲方認可后的 25 個工作日內25 workdays after NonShowing area Design Development’s written notification.7施工圖審查,示范區(qū)施工現場配合Construction Administration不遲于2013年12月Before 2013/12$25,(美元,貳萬伍仟元整)$25,施工完成后25個工作日內25 workdays after Construction Administration’s written notification.7:違約責任 甲方因自身原因不能履行本合同,應按照合同付清已完成階段設計任務對應的設計費,若日后工程仍再度進行,甲方與乙方應就尚未履行的原合同或新的服務范圍,協商新的收費方式或重新簽訂合同。甲方上級對設計文件不審批或本合同項目停緩建,甲方應按乙方實際完成的工作量支付應付的設計費。 乙方按工作進度分階段提交帳單/發(fā)票,甲方核審無誤后,按照本合同約定付款,如無正當理由逾期付款達60天以上時,乙方有權暫停履行下階段工作,并書面通知甲方。 乙方因自身原因無法履行合同或導致甲方按照合同規(guī)定解除合同者,應支付合同總額的10%違約金,乙方已提交部分工作成果的,;未提交工作成果的,乙方則應返還甲方所有已付設計費。 由于乙方自身原因,延誤了按本合同規(guī)定的設計文件交付時間,超過三天的,則每延誤一天,應減收該項目相應階段應收設計費的 ‰;但乙方不因為郵政造成的延誤負責;延誤超過 15 天的,甲方有權解除本合同并要求乙方支付合同總金額的10%違約金。 設計不符合甲方要求的,乙方應當按照甲方和合同約定的要求限期修改,修改兩次仍不能符合要求的,甲方有權單方解除本合同。8:合同生效、終止與結束 本合同需經甲乙雙方簽字蓋章后生效;本合同生效日期以甲乙雙方中最后一方簽字(并蓋章)的日期為準。 若乙方發(fā)生下述情形之一,甲方有權終止本合同,而不承擔任何違約責任,同時甲方有權依照本合同相關規(guī)定和法律規(guī)定采取相應救濟措施。 乙方進行破產或破產和解的程序。 乙方有轉移資產、抽逃資金或其它喪失聲譽及履約能力之情形。 乙方嚴重違反本合同規(guī)定義務,經過甲方限期改正,而未改正者。 法律法規(guī)或本合同其它規(guī)定甲方有解除權的。 合同終止后果 本合同終止后,乙方應當于甲方指定期間內返還甲方所有商業(yè)秘密資料、信息,不能返還的予以銷毀。 因乙方原因導致合同終止或合同終止前甲方已支付乙方相應報酬的,合同的終止不影響甲方對合同終止前乙方提交的成果享有的知識產權。9:一般條款 履行合同的能力:雙方保證各自有足夠的權力和能力履行本合同,滿足合同中的各項條件和兌現各項要求和費用支付。. 完整合同:本合同書和本合同補充協議應視為甲方同乙方之間的完整合同。它取代以前所有的口頭或書面的談判、匯報或協議。若要修改,必須有雙方的書面同意。 不可抗力導致的終止合同:如果不可抗力發(fā)生,如行政命令、政策法規(guī)、戰(zhàn)爭、自然災害(如洪水或地震)或其他超出合同雙方控制的事件,因而一方無法履行合同,受到不可抗力影響的一方可以提前十五天書面通知對方終止合同,雙方互不承擔違約責任。 不可抗力時的設計費用支付:不可抗力發(fā)生時,甲方決定終止合同,乙方在合同終止日為止所提供的一切服務都應得到報酬。一旦應付款已付清,乙方將提供甲方在合同終止日前完成的所有設計文件。 通知:除本合同另有規(guī)定的外,通知以傳真、電子郵件、郵局掛號、快遞等方式。如通知以傳真或電子郵件方式,則以發(fā)傳真或電字郵件當日為送達日;如通知以郵局掛號或快遞方式寄送的,則甲方收到日為送達日。 糾紛解決:本合同在履行過程中發(fā)生糾紛,甲方與乙方應協商解決。協商不成時,可向中國境內甲方所在地有管轄權的人民法院提起訴訟,并遵守其根據中國法律所做出的裁決。 本合同書雙方簽字后,表明雙方在指明的日期同意上述合同書條款。同時也表明雙方有完全和最終權威使各自代表的一方能完全遵守本合同所列條款。 本合同要求甲方提供的相關資料和文件與本合同一并使用,并與本合同具有同等法律效力,如兩者之間有不符之處,以本合同為準。 本合同未盡事宜,雙方可簽訂補充協議作為附件,補充協議與本合同具有同等法律效力。經雙方協商簽訂的補充協議應按順序編號,當本合同與補充協議不一致時,應按補充協議的最新約定執(zhí)行。 合同一式四份,雙方各持二份,具有相同的法律效力。 本合同中文版本與英文版本不一致的,以中文為準。委托方(甲方)單位名稱:深圳市萬科南城房地產開發(fā)有限公司單位地址:深圳市福田區(qū)梅林路63號 萬科建筑研究中心郵編: 518049簽訂合同代表簽訂日期承接方(乙方)單位名稱:Karl Princic Design/Intaran Design Inc.單位地址100X Jl.
