【文章內(nèi)容簡介】 timeandallsetofshippingdocumentslistedinClause9within3workingdays.Incaseofdangerousgoods,theSellersshallfaxtonotifytheBuyersofitspropertyanditsdisposing.GUARANTEEOFQUALITY賣方保證定貨系用最上等的材料和頭等工藝制成的全新產(chǎn)品，并完全符合合同規(guī)定的質(zhì)量、規(guī)格和性能。TheSellershallguaranteethegoodsaremadeofbestmaterials,withfirstclassworkmanship,brandnew,unusedandcorrespondinallrespectswiththequality,specificationandperformanceasstipulatedincontract.INSPECTIONANDCLAIMS檢驗Inspection：按賣方和用戶在雙方簽訂的技術(shù)協(xié)議里的規(guī)定辦理。asperdetailsstipulatedinTechnicalAgreementsignedbytheSellerandUser索賠CLAIMS：在本合同第條規(guī)定的保證期限內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量及/或規(guī)格與本合同規(guī)定不符或發(fā)現(xiàn)貨物無論任何原因引起的缺陷包括內(nèi)在缺陷或使用不良的原料，買方應申請商檢局檢驗，并有權(quán)根據(jù)商檢證向賣方索賠。WithintheguaranteeperiodstipulatedinClausehereofshouldthequalityand/orspecificationsofthegoodsbefoundnotinconformitywiththecontractedstipulations,orshouldthegoodsprovedefectiveforanyreason,includinglatentdefectortheuseofunsuitablematerials,theBuyersshallarrangeforaninspectiontobecarriedoutbytheChinaCommodityInspectionBureau,andhavetherighttoclaimagainstthesellersonthestrengthoftheinspectioncertificateissuedbythesameBureau.賣方收到買方索賠通知后,如果在三十天內(nèi)未答復,應視為賣方同意買方提出的一切索賠。AnyandallclaimsshallberegardasacceptediftheSellersfailtoreplywithin30daysreceiptoftheBuyers’claim.CLAIMS如貨物不符合本合同規(guī)定應由賣方負責，同時買方按照本合同的規(guī)定在索賠期限或質(zhì)量保證期內(nèi)提出索賠，賣方在取得買方同意后，應按下列方式理賠。Incasethatthesellersareliableforthediscrepanciesoftheabovementionedequipmentandaclaimislodgedbythebuyerswithinthetimelimitofinspectionorqualityguaranteeperiodasstipulatedinthiscontract,thesellersshallsettletheclaimuponagreementofthebuyersinoneorbinationofthefollowingways.設備經(jīng)賣方安裝、調(diào)試后不能正常運轉(zhuǎn)或達不到技術(shù)協(xié)議規(guī)定的技術(shù)要求，賣方同意買方退貨，并將退貨金額以成交原幣償還買方，并負擔因退貨而發(fā)生的一切費用，包括運費，保險費，商檢費，倉租，碼頭裝卸費等其它必要費用。Agreetotherejectionofthegoodsandrefundtothebuyersthevalueofthegoodsorejectedinthesamecurrencyascontractedhereinandtobearalldirectexpensesinconnectiontherewithincluding freight,insurancepremium,inspectioncharges,stevedorecharges,andallothernecessaryexpenses.按照貨物的疵劣程度，損壞的范圍將貨物貶值。Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamage.用符合本合同規(guī)定的規(guī)格，質(zhì)量和性能的全新零件調(diào)換有缺陷的零件，賣方應承擔一切費用和風險并負擔買方承受的全部直接費用。同時，賣方應按合同規(guī)定，相應延長所更換貨物的質(zhì)量保證期。Replacedefectivepartswithnewparts,whichconformtothespecifications,quality,andperformanceasstipulatedinthiscontract.Page4of6如果賣方在接到買方索賠30天內(nèi)未予答復則表明賣方已經(jīng)接受索賠，賣方需在接受索賠30日內(nèi)完成賠償。TheclaimmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyer’sbuyer’sclaimshallbesatisfiedwithin30dayscountingfromseller’sacceptanceoftheclaim.FORCEMAJ
