Waiver of Defenses. 第七條 放棄抗辯。Guarantor hereby waives any right to assert against Buyer as a defense， counterclaim， setoff on cross claim， any defense （legal or equitable）， setoff， counterclaim and claim which Guarantor may now or at any time hereafter have against Seller and any other party liable to Buyer in any way or manner.　　擔(dān)保人據(jù)此放棄任何對(duì)買方提出抗辯、反訴及在交叉訴訟中提出抵銷的權(quán)利，同時(shí)放棄擔(dān)保人現(xiàn)在或今后隨時(shí)可能針對(duì)賣方及以任何方式對(duì)買方負(fù)有義務(wù)的他方提出任何抗辯（普通法或衡平法上的抗辯）、抵銷、反訴和訴訟的權(quán)利。　　Guarantor hereby waives all defenses， counterclaims and offsets of any kind or nature， arising directly or indirectly from the present or future lack of perfection， sufficiency， validity or enforceability of the Agreements or any security interest thereunder.　　擔(dān)保人據(jù)此放棄因協(xié)議在完整性、充分性、有效性或可執(zhí)行性方面存在現(xiàn)實(shí)的或潛在的缺陷而直接或間接產(chǎn)生的所有種類的抗辯、反訴及抵銷的權(quán)利，并放棄由協(xié)議產(chǎn)生的任何擔(dān)保權(quán)益?！　uarantor hereby waives any defense arising by reason of any claim or defense based upon an election of remedies by Buyer， which， in any manner impairs， affects，　reduces， releases， destroys or extinguishes Guarantors subrogation rights， rights to　proceed against Seller for reimbursement， or any other rights of the Guarantor or　against any other person or security， including， but not limited to， any defense based　upon an election of remedies by Buyer under the provisions of applicable state law， orof the United States.　　擔(dān)保人據(jù)此放棄就買方基于其選擇的救濟(jì)措施而產(chǎn)生的任何主張或抗辯提出任何抗辯，盡管買方采取的救濟(jì)措施已損害、影響、減少、解除、破壞或消滅了擔(dān)保人的代位權(quán)、起訴賣方以求償?shù)臋?quán)利或其他權(quán)利，或是針對(duì)其他人或擔(dān)保物的權(quán)利，擔(dān)保人放棄的抗辯包括但不限于，基于買方根據(jù)適用的州法或合眾國(guó)法規(guī)定采取救濟(jì)措施而產(chǎn)生的任何抗辯?！　uarantor waives all presentments， demands for performance， notices of nonperformance， protests， notices of protests， notice of dishonor， notices of default，　notice of acceptance of this Guaranty， and notices of the existence， creating or　incurring of new or additional indebtedness， and all other notices or formalities to　which Guarantor may be entitled.　　擔(dān)保人放棄獲得所有其有權(quán)得到的付款提示、履行要求、不履行通知、抗議、抗議通知、拒付通知、違約通知、接受本擔(dān)保書(shū)的通知、產(chǎn)生新的或額外負(fù)債的通知以及其他任何通知或手續(xù)?！　?. Waiver of Jury Trial. 第八條 放棄由陪審團(tuán)審理的權(quán)利。 Guarantor waives any right to a jury trial in any action hereunder or arising out of Buyers transactions with Seller.　　　擔(dān)保人放棄在因本擔(dān)保書(shū)或買賣雙方交易而產(chǎn)生的任何訴訟中由陪審團(tuán)審理的所有權(quán)利。9. Waiver of Rights of Subrogation. 第九條 放棄代位權(quán)The Guarantor shall have no right of subrogation， reimbursement， exoneration， contribution or any other rights that would result in the Guarantor being deemed a creditor of Seller under the United States Bankruptcy Code or any other law or for any other purpose and the Guarantor hereby irrevocably　waives all such rights， the right to assert any such rights and any right to enforce any　remedy which Guarantor may now or hereafter have against Seller and hereby　irrevocably waives any benefit of and any right to participate in， any security now or　hereafter held by Buyer， whether any of the foregoing rights arise in equity， at law or by contract.。　　擔(dān)保人不應(yīng)具有代位權(quán)、求償權(quán)、免除權(quán)、補(bǔ)償權(quán)或者其他任何根據(jù)美利堅(jiān)合眾國(guó)破產(chǎn)法典或任何其他法律或?yàn)槿魏纹渌康臅?huì)導(dǎo)致?lián)Ｈ吮灰暈橘u方債權(quán)人的權(quán)利，擔(dān)保人據(jù)此不可撤銷地放棄上述權(quán)利、主張上述權(quán)利的權(quán)利以及強(qiáng)制執(zhí)行擔(dān)保人現(xiàn)在或今后可能針對(duì)賣方采取的任何救濟(jì)措施的權(quán)利。擔(dān)保人據(jù)此不可撤銷地放棄由買方現(xiàn)在或今后持有的任何擔(dān)保物所帶來(lái)的利益并放棄任何分享該擔(dān)保物的權(quán)利，不論上述任何一種權(quán)利源于衡平法、普通法或合同。　　As a condition to
