shipment。(15)品質(zhì)與數(shù)量、重量的異議與索賠：貨到目的口岸后，買(mǎi)方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買(mǎi)方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣(mài)方提出異議，品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日15天內(nèi)提出。賣(mài)方應(yīng)于收到異議后30天內(nèi)答復(fù)買(mǎi)方。quality/quantity/weight discrepancy and claim ：in case the quality and/or quantity/weight are found by the buyer to be not in conformity with the contract after arrival of the goods at the port of destination， the buyer may lodge claim with the seller supported by survey report issued by an inspection organization agreed upon by both parties，with the exception ，however of those claims for which the insurance pany and/or the shipping pany are to be held responsible claim for quality discrepancy should be filed by the buyer within 30 days after arrival of the goods at the port of destinationwhile for quantity/weight discrepancy claim should be filed by the buyer within l5 days after arrival of the port of destination . the seller shall within 30 days after receipt of the claim， send reply to the buyer.(16)不可抗力：由于人力不可抗拒的事故，使賣(mài)方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貸，賣(mài)方不負(fù)責(zé)任。但賣(mài)方必須立即以電報(bào)通知買(mǎi)方，如買(mǎi)方提出要求，賣(mài)方應(yīng)以?huà)焯?hào)函向買(mǎi)方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的發(fā)生事故的證明文件。force majeure ： in case of force majelure， the seller shall not be held responsible for late delivery or nondelivery of the goods but shall notify the buyer by cable，the seller shall deliver to the buyer by registered mail ， if so requested by the buyer， a certificate issued by the china council for the promotion of international trade or any petent authorities。(17)仲裁: 凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方以友好方式協(xié)商解決，如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁，仲裁決定是終局的，對(duì)雙方具有同等約束力。仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。arbitration ： all disputes in connection with this contract or the execution thereof shall be settled through friendly negotiations between two parties if no settlement can be reached . the case in dispute shall then be submitted for arbitration in the country of defendant in accordance with the arbitration regulations of the arbitration organization of the defendant country， the decision made by the arbitration organization shall be taken as final and binding upon both parties. the arbitration expresses shall be borne by the losing party unless otherwise awarded by the arbitration :(19)其他雙方公司落款及簽字(蓋章)運(yùn)輸協(xié)議書(shū)(簡(jiǎn)單版篇八甲方：乙方：根據(jù)《中華人民共和國(guó)勞動(dòng)法》以及相關(guān)的法律、法規(guī)和政策規(guī)定，甲、乙雙方在平等、自愿、公平、誠(chéng)信、互惠互利的基礎(chǔ)上，就甲方所銷(xiāo)售的草皮、草種及其它貨物的運(yùn)輸工作簽訂以下合作協(xié)議條款，雙方承諾共同遵守。一、 合作方式(一)甲乙雙方形成貨物運(yùn)輸合作關(guān)系，乙方為貨物運(yùn)輸司機(jī)。(二)乙方按照甲方的要求，于通知時(shí)間提前30分鐘到達(dá)通知地點(diǎn)將貨物(草皮、喬灌木等)裝車(chē)，路線(xiàn)由乙方自定，然后在規(guī)定時(shí)間運(yùn)送到達(dá)指定目的地，貨物到達(dá)客戶(hù)工地一般不需要二次轉(zhuǎn)運(yùn)。(三)按照甲方要求規(guī)范填寫(xiě)一式三聯(lián)的送貨單，乙方幫助甲方交完貨后，將送貨單拿到客戶(hù)方指定人員簽收后，客戶(hù)聯(lián)交給客戶(hù)，回單聯(lián)或現(xiàn)金在一個(gè)星期內(nèi)交回公司財(cái)務(wù)部。二、費(fèi)用結(jié)算(一)運(yùn)價(jià)確定方式：甲乙雙方共同協(xié)商確定。若乙方與甲方建立有長(zhǎng)期的合作關(guān)系，運(yùn)輸價(jià)格應(yīng)該比平均市場(chǎng)運(yùn)輸費(fèi)用低。(二)結(jié)算方式：乙方每月10日之前與甲方財(cái)務(wù)對(duì)上月的運(yùn)輸(三)支付方式和支付金額：乙方拿到甲方出具的對(duì)賬結(jié)果到出納處領(lǐng)取運(yùn)費(fèi)，每半年結(jié)一次帳。若遇到特殊情況乙方可向甲方申請(qǐng)部分款項(xiàng)，該款項(xiàng)不超過(guò)總款項(xiàng)的50%。三、合作義務(wù)和責(zé)任(一)甲乙雙方合作期間應(yīng)該嚴(yán)格遵守一切法律、法規(guī)和政策制度。(二)乙方為甲方運(yùn)輸貨物，在甲方客戶(hù)面前直接代表甲方的形象，故乙方應(yīng)該以甲方利益為第一出發(fā)點(diǎn)，友好、真誠(chéng)對(duì)待客戶(hù)，不能與客戶(hù)有任何不必要的沖突。(三)乙方需在出發(fā)前與客
