【文章內(nèi)容簡介】 質(zhì)人根據(jù)本合同第 2 條給予質(zhì)權(quán)人的擔(dān)保物權(quán)，即指質(zhì)權(quán)人
所享有的，以出質(zhì)人質(zhì)押給質(zhì)權(quán)人的股權(quán)折價(jià)或拍賣、變賣該股權(quán)的價(jià) 款優(yōu)先受償?shù)臋?quán)利。
Pledge: shall refer to the security interest granted by Pledgor to Pledgee pursuant to Section 2 of this Agreement, ., the right of Pledgee to be pensated on a preferential basis with the conversion, auction or sales
price of the Equity Interest.
股權(quán)：指出質(zhì)人現(xiàn)在和將來合法持有的其在丙方的全部股權(quán)權(quán)益。
Equity Interest: shall refer to all of the equity interest lawfully now held and hereafter acquired by Pledgor in Party C.
質(zhì)押期限：指本合同第 3 條規(guī)定的期間。
Term of Pledge: shall refer to the term set forth in Section 3 of this Agreement.
控制協(xié)議：指丙方與質(zhì)權(quán)人于本合同簽署日簽訂的獨(dú)家業(yè)務(wù)合作及服務(wù)
協(xié)議等一系列控制性協(xié)議。
Control Agreements: shall refer to the Exclusive Business Cooperation and Service Agreements and other relevant control agreements executed by and between Party C and Pledgee as of the date hereof.
違約事件：指本合同第 7 條所列任何情況。
Event of Default: shall refer to any of the circumstances set forth in Section 7 of this Agreement.
違約通知：指質(zhì)權(quán)人根據(jù)本合同發(fā)出的宣布違約事件的通知。
Notice of Default: shall refer to the notice issued by Pledgee in accordance with this Agreement declaring an Event of Default.
2. 質(zhì)權(quán)
THE PLEDGE
作為丙方按時(shí)和全額支付控制協(xié)議項(xiàng)下質(zhì)權(quán)人應(yīng)得的任何或全部的款項(xiàng)包 括但不限于控制協(xié)議中規(guī)定的咨詢和服務(wù)費(fèi)（無論該等費(fèi)用的到期應(yīng)付是由 于到期日的到來、提前收款的要求或其它原因）的擔(dān)保，出質(zhì)人特此將其現(xiàn) 有或?qū)碛械谋降娜抗蓹?quán)權(quán)益質(zhì)押給質(zhì)權(quán)人。
As collateral security for the timely and plete payment and performance when due (whether at stated maturity, by acceleration or otherwise) of any or all of the payments due by Party C including without limitation the consulting and services fees payable to the Pledgee under the Control Agreements, Pledgor hereby pledges to Pledgee a first security interest in all of Pledgor’s right, title and interest, whether now owned or hereafter acquired by Pledgor, in the Equity Interest of Party C.
在質(zhì)權(quán)人事先書面同意的情況下，出質(zhì)人方可對丙方增資。出質(zhì)人因?qū)?增資而在公司注冊資本中增加的出資額亦屬于股權(quán)。
Pledgor may subscribe for capital increase in Party C only with prior written consent of Pledgee. Any equity interest obtained by Pledgor as a result of Pledgor’s subscription of the increased registered capital of the Company shall also be deemed as Equity Interest.
3. 質(zhì)押期限
TERM OF PLEDGE
本質(zhì)權(quán)自本合同項(xiàng)下的股權(quán)出質(zhì)在相應(yīng)的工商行政管理機(jī)關(guān)登記之日
起生效，質(zhì)權(quán)有效期持續(xù)到出質(zhì)人不再擔(dān)任丙方的股東為止。各方同意， 自本合同簽署之日起 3 個(gè)工作日內(nèi)，出質(zhì)人和丙方應(yīng)將本合同的質(zhì)權(quán)登 記在丙方股東名冊上，并自本合同簽署之日起 30 個(gè)工作日內(nèi)向相應(yīng)的 工商行政管理機(jī)關(guān)申請登記本合同項(xiàng)下的質(zhì)權(quán)。各方共同確認(rèn)，為辦理 股權(quán)質(zhì)押工商登記手續(xù)，各方及丙方其他股東應(yīng)將本合同或者一份按照 丙方所在地工商行政管理部門要求的形式簽署的、真實(shí)反映本合同項(xiàng)下 質(zhì)權(quán)信息的股權(quán)質(zhì)押合同（“工商登記質(zhì)押合同”）提交給工商行政 管理機(jī)關(guān)，工商登記質(zhì)押合同中未約定事項(xiàng)，仍以本合同約定為準(zhǔn)。出 質(zhì)人和丙方應(yīng)當(dāng)按照中國法律法規(guī)和有關(guān)工商行政管理機(jī)關(guān)的各項(xiàng)要 求，提交所有必要的文件并辦理所有必要手續(xù)，保證質(zhì)權(quán)在遞交申請后 盡快獲得登記。
