【正文】 亡幾 /或被第三放重組，雙方均有權(quán)中止本協(xié)議。代理商承認(rèn)使用于或包含代理商品中的任何專利、商標(biāo)、版權(quán)以及其他工業(yè)產(chǎn)權(quán)，都屬于賣(mài)方所有，并不得以任何方式提出異議。 Article 8 Expenses all expenses and disbursements such as cabling,travelling and other expenses incurred in connection with the sale of products shall be for the account of agents, unless especially agent shall ,at his own expenses, maintain offic(s),salesman and other sufficient for the performance of the obligation of agent in conformity with any and all instructions given by seller.第九條 傭金 賣(mài)方接 受代理商直接獲得的所有訂單后，應(yīng)按發(fā)票凈售價(jià) XX%，以 XX（貨幣）支付給代理商傭金。 Article 5 Exclusive Right in consideration of the exlusive right herein granted,seller shall not , directly or indirectly , sell or export products to Territory through other channel than agent and agent shall not sell, distribute or promote the sale of any products petitive with or similar to products in territory and shall not solicit or accept orders for the purpose of selling products outside territory .seller shall refer to agent any inquiry or order for products seller may receive from others in territory during the effective period of this agreement. 第六條 最低交易金額與價(jià)格 在本協(xié)議有效期內(nèi)，如果賣(mài)方通過(guò)代理商每年（ 12 個(gè)月）從顧客處收到的貨款金額低于 XXXXXXX，則賣(mài)方有權(quán)提前 30 天書(shū)面通知代理商解除本協(xié)議。s mutually agreed as follows: 第一條 委任與接受 在本協(xié)議有效期內(nèi)，賣(mài)方指定代理商為本協(xié)議第四條項(xiàng)下商品的獨(dú)家代理商，在第三條規(guī)定的區(qū)域內(nèi)招攬訂單。對(duì)于代理上違反賣(mài)方指令或超出指令范圍的一切作為或不作為，賣(mài)方不承擔(dān)任何責(zé)任。代理商應(yīng)將收到的訂單立即轉(zhuǎn)交賣(mài)方，由賣(mài)方確定接受與否。代理商應(yīng)向 賣(mài)方報(bào)告商品庫(kù)存情況、市場(chǎng)狀況以及其他商業(yè)活動(dòng)。在本協(xié)議終止前至少 3 個(gè)月，賣(mài)方或代理商應(yīng)共同協(xié)商協(xié)議的延續(xù)。受不可抗力影響的一方應(yīng)盡快地將發(fā)生的時(shí)間書(shū)面通知對(duì)方。 Article 17 Arbitration all disputes arising from the performance of the agreement should be settled through friendly no settlement be reached trhough negotiation, the case shall be submiteted for arbitration to the China International Economic and Trade arbitration Commission (Beijing) and the rules of this mission shall be applied. the award of the arbitration shal be final and binding upon both parties. the arbitration fee shall be born by the losing party. 本協(xié)議由雙方代表簽字后生效，正本一式兩
