(12)不可抗力：本合同內(nèi)所述全部或部分貨物，如因不可抗力的原因，以致不能履約或不得不延期交貨，賣方概不負責。

(9)單據(jù)：賣方向買方提供相關(guān)單據(jù)。中國經(jīng)濟合同法規(guī)定“經(jīng)濟合同依法成立，即具有法律約束力，當事人必須全面履行合同規(guī)定的義務(wù)”。《法國民法典》對此規(guī)定最為典型，民法黃規(guī)定“依法成立的合同，在締結(jié)合同的當事人間有相當?shù)姆尚ЯΑ薄?br /> However, the Seller’s obligation to deliver is conditional upon receipt from the Buyer’s payment in accordance with Clause 8 of the Contract 25 days before the time of delivery stipulated hereof, if a carrier is selected and booked by the Buyer itself in accordance with the terms of this Contract, the Seller will have the modity ready for shipment by such time of delivery.

(8)付款條件： 100%不可撤消可轉(zhuǎn)讓即期信用證,在出貨前7天收到銀行正本信用證。無論哪種情況下，賣方均不對貨物的可銷 性
或適用性負責，也不對任何損失賠償負責包括但又不限于直接的、間接的、附帶的損失，如買方不能在合同規(guī)定的期限內(nèi)將信用證開到或?qū)㈩A(yù)付款匯到，或者開來的信用證不符合合同規(guī)定，而在接到賣方通知后，不能按期辦妥改證，賣方有權(quán)撤銷合同或延期交貨，并有權(quán)提出索賠。
