respectively。對(duì)于本通知下發(fā)之前國(guó)務(wù)院有關(guān)部門(mén)已經(jīng)批準(zhǔn)設(shè)立的外商投資企業(yè)合同、章程的變更、發(fā)證等，一律報(bào)企業(yè)所在地省級(jí)商務(wù)主管部門(mén)批準(zhǔn)并辦理有關(guān)手續(xù)。國(guó)家發(fā)展與改革委、商務(wù)部負(fù)責(zé)審批投資總額在3000萬(wàn)美元（含3000萬(wàn)美元）以上的生產(chǎn)性外商投資項(xiàng)目和需由國(guó)務(wù)院主管部門(mén)審批的其他項(xiàng)目。、章程的申報(bào)審批及申領(lǐng)外商投資企業(yè)批準(zhǔn)證書(shū)。（二）設(shè)立外商獨(dú)資經(jīng)營(yíng)企業(yè)的基本程序外國(guó)投資者設(shè)立獨(dú)資企業(yè)，可委托具有相應(yīng)資格的咨詢代理機(jī)構(gòu)辦理申請(qǐng)和報(bào)批等事項(xiàng)?！杜鷾?zhǔn)證書(shū)》；經(jīng)審批部門(mén)批準(zhǔn)的項(xiàng)目建議書(shū)、可行性研究報(bào)告、合同、章程、董事會(huì)名單。中國(guó)對(duì)外國(guó)投資者在境內(nèi)設(shè)立企業(yè)或公司的最低注冊(cè)資本和出資期限有明確規(guī)定。具體規(guī)定如下：a)注冊(cè)資本在50萬(wàn)美元以下（含50萬(wàn)美元）的，自營(yíng)業(yè)執(zhí)照核發(fā)之日起一年內(nèi)，應(yīng)將資本全部繳齊；b)注冊(cè)資本在50萬(wàn)美元以上、100萬(wàn)美元以下（含100萬(wàn)美元）的，自營(yíng)業(yè)執(zhí)照核發(fā)之日起一年半內(nèi)，應(yīng)將資本全部繳齊；c)注冊(cè)資本在100萬(wàn)美元以上、300萬(wàn)美元以下（含300萬(wàn)美元）的，自營(yíng)業(yè)執(zhí)照核發(fā)之日起二年內(nèi)，應(yīng)將資本全部繳齊；d)注冊(cè)資本在300萬(wàn)美元以上、1000萬(wàn)美元以下（含1000萬(wàn)美元）的，自營(yíng)業(yè)執(zhí)照核發(fā)之日起三年內(nèi)，應(yīng)將資本全部繳齊；e)注冊(cè)資本在1000萬(wàn)美元以上的，出資期限由審批機(jī)關(guān)根據(jù)實(shí)際情況確定。（3）對(duì)出資期限的規(guī)定中外合資、合作企業(yè)在合同、章程中及外資企業(yè)在章程中必須明確出資期限，如未做出明確規(guī)定的，審批機(jī)構(gòu)不給予批準(zhǔn)，登記機(jī)構(gòu)也不給予核準(zhǔn)登記注冊(cè)。（三）“一站式審批”和“一條龍服務(wù)”為方便中外投資者辦理審批手續(xù)，提高政府工作效率，目前，許多地方政府可提供“一站式審批”，商務(wù)部門(mén)和相關(guān)政府部門(mén)采取聯(lián)合辦公形式，對(duì)外商投資事項(xiàng)進(jìn)行集中受理。外商投資企業(yè)在領(lǐng)取營(yíng)業(yè)執(zhí)照起30日內(nèi)還需向有關(guān)部門(mén)辦理相關(guān)登記手續(xù)，如到銀行開(kāi)立外匯及人民幣賬戶；到稅務(wù)部門(mén)辦理稅務(wù)登記；辦理海關(guān)登記；到外匯管理部門(mén)辦理外匯管理登記；到商檢局辦理商檢登記；到勞動(dòng)局辦理招工、招聘手續(xù)，境外人員就業(yè)手續(xù)等。經(jīng)批準(zhǔn)后，由審批部門(mén)頒發(fā)外商投資企業(yè)批準(zhǔn)證書(shū)。項(xiàng)目建議書(shū)批準(zhǔn)后，中方投資者應(yīng)向工商行政管理部門(mén)申請(qǐng)企業(yè)名稱登記，以保護(hù)名稱專用權(quán)和防止重名。對(duì)已設(shè)立外商投資企業(yè)合同、章程內(nèi)容非實(shí)質(zhì)性的修改，如外商投資企業(yè)名稱變更、投資者名稱變更、企業(yè)法定地址變更等事項(xiàng)，企業(yè)可持有關(guān)文件向原審批部門(mén)直接備案，并變更批準(zhǔn)證書(shū)。（11）填報(bào)《外商投資企業(yè)（臺(tái)港澳僑）批準(zhǔn)證書(shū)存根》1份；11)One
