2)AdistinctiveyardNumbershallbeplaceduponeachYachtandhermaterialsandoutfit，.
ARTICLEIII–CONSTRUCTION，MATERIALSANDINSPECTION
1)TheYachtandhermachinery，outfit，equipment，materialsandworkmanshipshallbeinaccordancewiththisContractandtheDesignSpecifications.
2)Inprinciplethebuilderwillsupplyallmaterial，ponentsorequipmentprocuredbythebuilderwillbebilledtothebuyeratdeliveredcostplus15%.Howeverthebuildermustnotifythebuyerinwritingpriortoprocurementofthecostandquantityofanyitemsforwhichthebuilderintendstobebilledtothebuyersaccount.
3)Intheeventofanydelayofdeliveryofmaterial，ponentsandequipmentwhichareitemsofBuyer‘ssupply，bythebuyerresultingindelaystotheproductionschedulesetoutinAnnexeE，ponentsandequipmentthathavealreadybeendeliveredtothebuilder.
4)IfanyspecifiedmaterialsarenotavailablewhenrequiredforincorporationontheYacht，theBuildershallbeatlibertytouseothersuitablematerialsinsubstitutiontherefore，subjecttotheapprovaloftheBuyer，DeliveryDateorDesignSpecificationresultingfromsuchsubstitutionshallbemadeinaccordancewiththeprovisionsofArticleIV.
5)DuringconstructionoftheYacht，theBuilderwillpermittheBuyer‘’‘sRepresentativetohaveaccesstothepremisesoftheBuilder’，duringconstruction，theBuyerorhisRepresentativeallegesanydefectoromissionintheYachttheyshall，ifrequiredbytheBuilder，beforedelivery，rectifythesame.
6)，mealsandentertainmentinChinafortheBuyer‘sstaffthatarepaidforbythebuilder，.
7)TheBuilderundertakestoprovideasuitablyqualified(Englishspeaking)MarineEngineertoactasaliaisonpersonwiththeBuyerthroughoutthedurationofthiscontract.
8)WherepracticaltheBuildershalltakeandmakeavailabletotheBuyer，digitalphotographicevidenceofallconstruction，paintingandfitoutstagesduringtheYacht‘’sRepresentativebyelectronicmeansandatsuchfrequencytoallowtheBuyerortheBuyer‘srepresentativetomonitorthecourseoftheYacht’sbuild.
9)Thematerials，ponentsandequipmentfortheYacht(asdetailedandagreedontheComponentSupplyListinAnnexA)thataretheBuilder‘’ssupplywillbeattheBuyer‘scosttogetherwithassociatedexportandimportprocedures，dutiesandinsurance.
10)TheBuilder‘，airlesssprayequipment，boltweldingcapacitor，heavydutypulseMIGweldingequipmentandenvironmentalmonitoringequipmentcapableofprovidingarecordoftemperature，humidityanddewpoint.
ARTICLEIV–MODIFICATIONS
1)AtanytimepriortoDeliveryoftheYachttheBuyerthroughtheBuyers’Representativemayrequest，inwriting，modificationsor　　additionstoordeletionsfromtheDesignSpecificationsandScheduleA.
TheBuildershallnotbeobligedtoaccedetoanyrequestunderthisparagraph(1)unless：
i)ItisreasonableandpracticablefortheBuildertodosohavingregardtothestageofconstructionwhichtheYachthasreachedandtotheBuilder‘sBoatyardprogramme。
2)TheBuildershallnotmakechangesinconstructionaldetailsormaterialsoftheYachtwithouttheagreementoftheBuyerinwriting.
ARTICLEV–PRICEANDTERMSOFPAYMENT
TheBuilderhasagreedtopletetheconstruction，outfitanddeliveryoftheYachtfortheBuyeronthefollowingterms.
$850，000(EighthundredandfiftythousandUSdollars)
，shall，subjecttoparagraph3)hereofbemadeininstalmentsfromtheBuyertotheBuilderasfollows：

a)InitialdepositofUS$127，500(onehundredandtwentyseventhousandfivehundred)payableonthesigninghereof.
b)UponarrivalofallstructuralbuildingmaterialsintheBoatyard，US$127，500(onehundredandtwentyseventhousandfivehundred)
c)OnsatisfactorypletionoftheYacht‘sstructuralsteelworkUS$127，500(onehundredandtwentyseventhousandfivehundred)
d)OnsatisfactorypletionoftheYacht‘sinteriorpaintingandinsulationstages，substantialpletionoftheYacht’sinteriorfurniturebuiltofftheYacht，andatthestartoffitout，US$127，500(onehundredandtwentyseventhousandfivehundred)
e)OnsatisfactorypletionoftheYacht‘sexteriorpaintingstages，US$127，500(onehundredandtwentyseventhousandfivehundred)。
b)AnorderismadeoraneffectiveresolutionispassedforthewindingupoftheBuilderorareceiveroradministratorisappointedofthewholeoranypartoftheundertakingoftheBuilderor。or
(c)TheBuilderotherwiseintimatestotheBuyerthatworkundertheContractistoberesumed.
3)NoticeofterminationbytheBuilderunderthisArticleshallbegivenbyfaxandconfirmedinwritingandshallbeeffectivesevendaysafterreceiptthereofbytheBuyer，whereupontheBuildershall(unlesstheBuyershallhavethenremediedthedefault)beentitledtoexercisetherightsprovidedforinparagraph(5)。
