【正文】 r future agreement between Buyer and Seller （hereinafter collectively referred to as the Agreements）， and in consideration thereof， and in consideration of any loans，advances， or financial acmodations heretofore or hereafter granted by Buyer to or for the account of Seller， whether pursuant to the Agreements， or otherwise， the　undersigned officer（s）， authorized agent（s） or third party guarantors of Seller（hereinafter collectively and individually referred to as the Guarantor） hereby， jointly and severally， guarantees， promises and undertakes as follows：　　為了促使 （公司名稱），一家（州名）公司，和協(xié)議中列明的任何其他共買方或參與者（買方）根據(jù)如下，或根據(jù)買賣雙方任何其他現(xiàn)有的或未來的協(xié)議（以下一并簡(jiǎn)稱為協(xié)議）向賣方提供及/ 或繼續(xù)提供資金融通，并考慮到買方迄今為止已經(jīng)或今后將要向賣方或?yàn)橘u方利益支付的任何貸款、預(yù)付款或融資，無論其是否與協(xié)議有關(guān)，下列簽字的賣方職員、經(jīng)授權(quán)的賣方代理人或賣方的第三方擔(dān)保人（以下一并且各自簡(jiǎn)稱為保證人）均據(jù)此連帶擔(dān)保、承諾及保證如下：　　1. Guaranty of unconditionally， absolutely and irrevocably guarantees and promises to pay to Buyer， on order or demand， in lawful money of the United States， any and all indebtedness and obligations of Seller to Buyer and the payment to Buyer of all sums which may be presently due and owing to Buyer from Seller whether under the Agreements or otherwise.　　擔(dān)保人無條件地、絕對(duì)地和不可撤銷地?fù)?dān)保并承諾，就協(xié)議等項(xiàng)下賣方對(duì)買方的任何負(fù)債、債務(wù)以及賣方應(yīng)向買方支付的應(yīng)付和即將到期的全部款項(xiàng)，擔(dān)保人將依照指示或要求，以合眾國(guó)的合法貨幣向買方支付。2. Continuing Guaranty. 第二條 連續(xù)擔(dān)保This General Continuing Guaranty （the Guaranty） is a　continuing guaranty which shall remain effective until this Guaranty has been expressly terminated and relates to any obligations including those which arise under successive transactions which shall either continue the Obligations from time to time or renew them after they have been satisfied. Any such termination shall be applicable only after written notice to Buyer， and only to transactions having their inception　prior to such date. No termination shall be effective until such time as Buyer is no　longer mitted or otherwise obligated to make any loans or advances， or to grant　any credit to Seller. In the absence of any termination of this Guaranty， Guarantor　agrees that nothing shall discharge or satisfy its obligations created hereunder except　　for the full payment and performance of the Obligations with interest.　　　本通用連續(xù)擔(dān)保書（本擔(dān)保書）是指在被明示終止前始終有效的連續(xù)的擔(dān)保，其擔(dān)保的對(duì)象是任何因連續(xù)交易而生的義務(wù)，這些連續(xù)交易的內(nèi)容或者是對(duì)原有債務(wù)的不時(shí)延展，或者是對(duì)原有債務(wù)履行后的更新?！　?.. 第五條 補(bǔ)償。　　6. Waiver of Rights of Subrogation. 第九條 放棄代位權(quán)The Guarantor shall have no right of subrogation， reimbursement， exoneration， contribution or any other rights that would result in the Guarantor being deemed a creditor of Seller under the United States Bankruptcy Code or any other law or for any other purpose and the Guarantor hereby irrevocably　waives all such rights， the right to assert any such rights and any right to enforce any　remedy which Guarantor may now or hereafter have against Seller and hereby　irrevocably waives any benefit of and any right to participate in， any security now or　hereafter held by Buyer， whether any of the foregoing rights arise in equity， at law or by contract.?！　s a condition to payment or performance by Guarantor under this Guaranty， Buyer　shall not be required to， and Guarantor hereby waives any and all rights to require　Buyer to prosecute or seek to enforce any remedies against Seller or any other party　liable to Buyer on account of the Obligations or to require Buyer to seek to enforce or resort to any remedies with respect to any security interests，
