【正文】 工廠建造合同PLANT CONSTRUCTION CONTRACT　　第一條 定義　　“業(yè)主”指 ?！　　俺邪獭敝??！　　肮S”指在附錄中指定的構(gòu)成固定設(shè)備的全部機(jī)器、設(shè)備和材料?！　　肮さ亍敝赴幢竞贤糜诮ㄔ旃S的全部地皮?！　　肮こ獭敝赋邪贪幢竞贤瑢?shí)施的工程。　　“合同價(jià)格”指業(yè)主向承包商支付的全部工程款項(xiàng)?！　rticle 1Definitions　　The Owner shall mean .　　The Contractor shall mean .　　The Plant shall mean all or any part of the machinery, equipment and materials forming the permanent installation as specified in Appendix(…).　　The Site shall mean all the land where the plant is to be constructed in accordance with this Contract.　　The Works shall mean the works to be done by the Contractor under this Contract.　　The Contract Price shall mean the total sum payable to the Contractor by the Owner for the Works.　　第二條 承包商的職責(zé)　　1. 承包商應(yīng)負(fù)責(zé)設(shè)計(jì)、籌劃以及在工地上建造工廠?！　?. 除了業(yè)主根據(jù)第條提供的項(xiàng)目和設(shè)施，承包商應(yīng)提供所有為使工廠成功建造所必需的設(shè)備、材料、工具、設(shè)施、勞工和服務(wù)。　　3. 承包商應(yīng)根據(jù)附錄中的日程安排施工?！　?. 承包商應(yīng)根據(jù)附錄中的規(guī)定為業(yè)主培訓(xùn)工廠設(shè)備的操作和維修人員?！　?. 承包商應(yīng)向業(yè)主提供附錄中規(guī)定的備件。　　6. 承包商應(yīng)向業(yè)主提供附錄中指定的維修設(shè)備?！　rticle 2Contractor39。s Responsibilities　　1. The Contractor shall design, engineer, and construct the Plant at the Site.　　2. The Contractor shall provide all equipment, materials, tools, facilities, labour and services necessary for the successful construction of the Plant except those items and facilities to be supplied by the Owner under Article (…).　　3. The Contractor shall perform the Works in accordance with the Schedule in Appendix (…).　　4. The Contractor shall provide the Owner39。s personnel with training of operation and maintenance of the Plant in accordance with Appendix (…).　　5. The Contractor shall supply the Owner with the spare parts specified in Appendix (…).　　6. The Contractor shall supply the Owner with the maintenance equipment specified in Appendix (…).　　第三條 業(yè)主的職責(zé)　　1. 業(yè)主應(yīng)提供工地，并在本合同有效期內(nèi)允許承包商自由地、不受干擾地出入該工地。　　2. 業(yè)主應(yīng)按時(shí)提供附錄中指定的物件和設(shè)施?！　?. 業(yè)主將從有關(guān)部門獲取為工廠建造、設(shè)備運(yùn)行所必需的執(zhí)照和許可證，包括承包商雇員的工作許可證?！　?. 業(yè)主應(yīng)按第條中規(guī)定的合同價(jià)格向承包商支付工程款項(xiàng)?！　rticle 3Owner39。s Responsibilities　　1. The Owner shall make available the Site and grant the Contractor free and uninterrupted access thereto throughout the duration of this Contract.　　2. The Owner shall provide those items and facilities specified in Appendix (…) at the time therein established.　　3. The Owner will obtain from the relevant Authorities those licenses and permits necessary to construct and operate the Plant on the Site including work permit for the Contractor39。s employees.　　4. The Owner shall pay the contractor for the Works performed the Contract Price set out in Article (…).　　第四條 合同價(jià)格　　1. 在本合同生效后天內(nèi)，業(yè)主應(yīng)向承包商支付金額為 合同價(jià)格，作為承包商完成該工程并承擔(dān)本合同規(guī)定的所有義務(wù)的全部報(bào)酬?！　?. 合同價(jià)格不再上調(diào)，完成工種的成本風(fēng)險(xiǎn)應(yīng)由承包商承擔(dān)，商定合同價(jià)格時(shí)應(yīng)認(rèn)為承包商已獲得全部信息并已把所有可能影響成本的因素估計(jì)在內(nèi)。　　Article 4Contract Price　　1. Within (…) days after the effective date of this Contract, the Owner shall pay the Contractor as full and plete pensation for acplishing the Works and assuming all obligations under this Contract the Contract Price in the amount of .　　2. The Contract Price is not subject to escalation, and the cost of executing the Works shall be the risk of the Contractor who shall be deemed to have obtained all information and taken into account all circumstances which may affect the cost in agreeing the Contract Price.　　第五條 設(shè)計(jì)圖樣　　1. 承包商應(yīng)根據(jù)合同，在附錄規(guī)定的時(shí)間內(nèi)向業(yè)主提交工廠建造所需的圖樣，供業(yè)主審批。業(yè)主應(yīng)在收到這些圖樣后一個(gè)月內(nèi)，對(duì)圖樣進(jìn)行審核，并作出批準(zhǔn)或不批準(zhǔn)的決定。　　2. 承包商應(yīng)對(duì)上述圖樣中的任何缺點(diǎn)、錯(cuò)誤或疏漏負(fù)責(zé)，除非這種缺點(diǎn)、錯(cuò)誤或疏漏是因業(yè)主書面提供的不準(zhǔn)確信息所致?！　?. 業(yè)主或承包商互相提供的所有圖樣和技術(shù)資料，收到方應(yīng)作為機(jī)密文件對(duì)待，除非另有商定，收到方不得將這些圖樣和資料用于與本合同無關(guān)的其他目的?！　rticle 5Drawings　　1. The Contractor shall submit to the Owner for approval and review within the time specified in Appendix (…) such drawings as may be required for Construction of the Plant under this Contract. Within one month after receiving such drawings the Owner shall review and approve or disapprove the drawing.　　2. The Contractor shall be responsible for any defects, errors or omissions in the above drawings unless such defects, errors or omissions are caused by inaccurate information furnished in writing to the Contractor by the Owner.　　3. All drawings and technical documentation delivered by the Owner or the Contractor to the other party shall be treated as confidential by the receiving party unless agreed otherwise, and shall not be used by that party for purposes other than those connected with this Contract.　　第六條 檢驗(yàn)　　1. 承包商應(yīng)該按法律和正常的工程慣例的要求，負(fù)責(zé)工廠所有的檢驗(yàn)和試驗(yàn)工作。　　2. 業(yè)主有權(quán)在任何適當(dāng)時(shí)間對(duì)建造中的工廠的材料和工藝進(jìn)行檢驗(yàn)和測(cè)試，費(fèi)用自理。這種檢驗(yàn)或測(cè)試不能免除承包商在合同中應(yīng)盡的任何義務(wù)?！　?. 完工后的工廠應(yīng)由業(yè)主進(jìn)行檢驗(yàn)和測(cè)試；工廠何時(shí)可以測(cè)試，承包商應(yīng)提前以書面形式通知業(yè)主?！　?. 承包商應(yīng)根據(jù)業(yè)主的合理要求，為徹底而有效的檢測(cè)提供所需要的協(xié)助、勞力、材料、電力、燃料、設(shè)備、備用品和儀器。　　5. 工廠通過上述測(cè)試后，業(yè)主應(yīng)向承包商簽發(fā)一份表示通過測(cè)試的證書。檢測(cè)中發(fā)現(xiàn)的任何問題未圓滿解決，工廠不得移交?！　rticle 6Inspection　　1. The Contractor shall perform all inspection and testing of the Plant required by law and normal engineering practice.　　2. The Owner shall be entitled at all reasonable times and at its own cost to inspect, examine and test the materials and workmanship of the Plant under construction. Such inspection, examination or testing if made shall not release the Contractor from any obligation under the Contract.　　3. The pleted Plant shall be inspected, examined and tested by the Owner, and the Contractor shall give the Owner reasonable notice in writing of the date on which the Plant will be ready for testing.　　4. The Contractor shall provide such assistance, labour, materials, electricity , fuels, apparatus, stores and instruments as may be required and as may be reasonably demanded to carry out such tests by the Owner properly and efficiently.　　5. When the Plant shall have passed the above tests, the Owner shall furnish the Contractor with a certificate in writing to that effect. No Plant shall be delivered until any faults discovered during inspection are satisfactorily rectified.　　第七條 工地　　1. 承包商應(yīng)在工地上提供所有令業(yè)主滿意的材料、勞力、設(shè)備、服務(wù)和便利，以便順利施工和完工?！　?. 在總體上得到上述保證的前提下，承包商應(yīng)提供下列各項(xiàng)必需品：　　a. 建筑設(shè)備；　　b. 工地上使用的運(yùn)輸工具，包括臨時(shí)道路；　　c. 保護(hù)人員和財(cái)產(chǎn)安全所需的籬笆、燈光、崗哨以及所有其他材料和服務(wù)；　　d. 為材料和施工人員（包括業(yè)
