CONTRACTOR shall notify COMPANY in writing immediately upon the Rig39。s arrival.“開工日期”指的是鉆機(jī)到達(dá)公司的第一口井井場(chǎng)或指定的其它井場(chǎng)，承包商各個(gè)崗位人員齊備，從各方面都已具備開鉆水平，并在以下規(guī)定的合同期間內(nèi)，以鉆機(jī)制造商標(biāo)定的技術(shù)規(guī)范，達(dá)到能夠進(jìn)行持續(xù)施工狀態(tài)的時(shí)刻。鉆機(jī)一旦到達(dá)井場(chǎng)，承包商應(yīng)立即以書面形式通知公司。 Clause Willful Misconduct 故意瀆職Willful Misconduct: shall mean, a reckless and wanton or intentional and conscious disregard of a manifest duty arising from any provision of the Contract by the CONTRACTOR’S personnel acting within the scope of their authority and duties, which was intended to cause harmful consequences.故意瀆職: 是指承包商人員粗心、固執(zhí)或蓄意忽視合同條款規(guī)定的其職責(zé)、義務(wù), 有意識(shí)地造成不良后果。 Clause – Gross Negligence 嚴(yán)重過失Gross Negligence: shall mean, any act or failure to act (whether sole, joint or concurrent) by any of the CONTRACTOR’S personnel which in reckless disregard or indifference caused harmful consequences such person knew or should have known, such act or failure to act would have had on the safety or property of the operations, but shall not include any error of judgment or mistake made by such person in the exercise of good faith. 嚴(yán)重過失：是指由于承包商任何人員的作為或不作為（不管是單獨(dú)、共同或同時(shí)）對(duì)施工安全或財(cái)產(chǎn)造成不良的后果，而這樣的人員又知道或應(yīng)該知道這種粗心或漠視行為造成的后果。但出于善意造成的判斷失誤或差錯(cuò)除外。 Clause Negligence 過失Negligence: shall mean, any error of judgment or mistake made by any of the CONTRACTOR’S personnel in the exercise of good faith, which results in harmful consequences or negatively affects the operation.過失：指的是承包商人員本出于善意造成的判斷失誤或差錯(cuò)，從而對(duì)施工造成不良后果或產(chǎn)生負(fù)面影響。 ARTICLE II OBJECT, DURATION, TERMINATION OF THE CONTRACT第二條款 合同的目標(biāo)、期限和終止Clause Object 目標(biāo)CONTRACTOR shall drill, deepen, work over, plete and test, and/or plug and abandon such well(s) as COMPANY requires hereunder, including, but not limited to, four (4) firm well(s) at onshore locations (hereinafter referred to as the Area of Operations) in the Arab Republic of Egypt, to be designated by the COMPANY or COMPANY’S assignee Affiliate.按照公司要求，承包商在阿拉伯埃及共和國(guó)陸地施工現(xiàn)場(chǎng)（以下稱“施工區(qū)”）施工（鉆井、加深、修井、完井、試井或堵塞、棄井），由公司或其受讓的關(guān)聯(lián)公司指定的4口確定井，（包括4口井，但不限于4口井）。 Clause Firm Wells: 確定井CONTRACTOR, at COMPANY’S direction, shall drill four (4) firm wells at the location designated by COMPANY.按照公司的指令，承包商在公司指定的現(xiàn)場(chǎng)施工4口確定井。 Optional wells: 待定井CONTRACTOR shall drill four (4) optional wells after four (4) firm wells at COMPANY’S option subject to the following:完成4口確定井的施工后， 承包商為公司施工4口待定井，這取決于以下情況： a) COMPANY shall give CONTRACTOR a written notice indicating its exercising of its option that CONTRACTOR makes Rig available to drill optional wells at COMPANY’S designated locations, subject to (b) hereunder.1) 公司書面通知承包商，表明其施工4口待定井的決定。承包商的鉆機(jī)能夠在以下2) 款條件下動(dòng)遷到公司指定的待鉆井井場(chǎng)。 b) CONTRACTOR shall make the Rig available to drill at COMPANY’S location(s) after one month from the date of the said notice
