Room 215216, Tonggang Tower, No 2 North Huayuan Street, Xicheng District, Beijing 日期 2020 年 6 月 2 日 DATE Jun 2ed, 2020 第 2 共 34 頁 協(xié)議書 AGREEMENT 協(xié)議書于 2020 年 6 月 2 日由 TESCO 地產(chǎn) (以下簡稱“業(yè)主” )為一方與 北京 **房地產(chǎn)顧問有限公司 （以下簡稱“咨詢工程師”）為另一方簽訂。 鑒于業(yè)主欲請咨詢工程師履行某些服務(wù)，即 編 制 遼寧省撫順市 *****工程總承包工程含清單的標(biāo)底文件 ， 并與本項(xiàng)目之總承包商就 清單 進(jìn)行核對，商討總承包工程合同預(yù)算價(jià) ，并已接受咨詢工程師為履行該類服務(wù)所提出的建議書。 This Agreement made the Jun 2ed, 2020, between TESCO Property (hereinafter called the Client) of the one part and BEIJING RECHE – WIDNELL CONSULTANTS CO LTD. (hereinafter called the Consultant) of the other part. WHEREAS the Client desires that certain Services should be performed by the Consultant, namely edit Main Tendering bottomline with bill of quantity of the Finance Street Project in the city of Fushun， Liaoning province ,and reconciling and verifying the budge price with the main Contractor, and has accepted a proposal by the Consultant for the performance of such Services. 茲就以下事項(xiàng)達(dá)成本協(xié)議： NOW THIS AGREEMENT WITNESSETH AS FOLLOWS 詞和用語應(yīng)與下文提及的 “業(yè)主 /咨詢工程師標(biāo)準(zhǔn)服務(wù)協(xié)議書條件 ”中分別賦予它們的含義相同。 1. In this Agreement words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of the Client/Consultant Model Services Agreement hereinafter referred to. 是組成本協(xié)議書的一部分，并應(yīng)被作為其一部分進(jìn)行閱讀和理解，即： 2. In consideration of the payments to be made by the Client to the Consultant as hereinafter mentioned the Consultant hereby agrees with the Client to perform the Services in conformity with the provisions of the Agreement. ，向咨詢工程師支付根據(jù)協(xié)議書規(guī)定應(yīng)付的款項(xiàng)似此作為履行服務(wù)的報(bào)酬。 4. The Client hereby agrees to pay the Consultant in consideration of the performance of the Services such amounts as may bee payable under the provisions of the Agreement at the times and in the manner prescribed by the Agreement. 本協(xié)議書謹(jǐn)于前文所載明之年月日，由立約雙方根據(jù)其有關(guān)的法律簽署并開始執(zhí)行。 whereof the parties hereto have caused this Agreement to be executed the day and year first before written in accordance with their respective laws 特此證明。 In Witness 由 在場的情況下 由 在場的情況下 In the presence of In the presence of 業(yè)主的具有約束力的簽名 咨詢工程師的具有約束力的簽名 Authorized signature(s) of Client Authorized signature(s) of Consultant 姓名 Name： 姓名 Name： 簽字 Signature： 簽字 Signature： 地址 Address： 地址 Address： 第 4 共 34 頁 第一部分 標(biāo)準(zhǔn)條件 GENERAL CONDITIONS 定義及解釋 DEFINITIONS AND INTERPRETATION DEFINITIONS 下列名詞和用語，除上下文另有要求者外，應(yīng)具有所賦予它們的涵義： The following words and expressions shall have the meanings assigned to them except where the context otherwise requires: （ 1） “項(xiàng)目 ”是指第二部分中指定的并為之建造工程的項(xiàng)目。 (i) “Project” means the project named in the Particular Conditions for which the Works are to be provided. （ 2） “服務(wù) ”是指咨詢工程師根據(jù)協(xié)議書所履行的服務(wù)，含正常的服務(wù)、附加的服務(wù)和額外的服務(wù)。 (ii) “Services” means the services to be performed by the Consultant in accordance with the Agreement and prise Normal Services, Additional Services and Exceptional Services. （ 3） “工程 ”是指為完成項(xiàng)目所實(shí)施的永久工程（包括提供給業(yè)主的物品和設(shè)備）。 (iii)“Works” means the permanent works to be executed (including the goods and equipment to be supplied to the Client) for the achievement of the Project. （ 4） “業(yè)主 ”是指本協(xié)議書所指的雇用咨詢工程師的一方以及業(yè)主的合法繼承人和允許的受讓人。 (iv)“Client” means the party named in the Agreement, who employs the Consultant, and legal successors to the Client and permitted assignees. （ 5） “咨詢工程師 ”是指本協(xié)議書中所指的，作為一個獨(dú)立的專業(yè)公司接受業(yè)主雇用履行服務(wù)的一方以及咨詢工程師的合法繼承人和允許的受讓人。 (v)“Consultant” means the party named in the Agreement, who is employed as an independent professional firm by the Client to perform the Services, and legal successors to the Consultant and permitted assignees. （ 6） “一方 ”和 “各方 ”是指業(yè)主和咨詢工程師。 “第三方 ”是指上下文要求的任何其他當(dāng)事人或?qū)嶓w。 (vi)“party” and “parties” means the Client and the Consultant and “third party” means any other person or entity as the context requires. （ 7） “協(xié)議書 ”是指包括業(yè)主 /咨詢工程師標(biāo)準(zhǔn)服務(wù)協(xié)議書第一、二部分的條件以及附件第 5 共 34 頁 A（服務(wù)范圍），附件 B（業(yè)主提供 的職員、設(shè)備、設(shè)施和其他人員的服務(wù)），附件 C（報(bào)酬和支付），中標(biāo)函和正式協(xié)議書（如果已簽訂），或第二部分中的其他規(guī)定。 (vii) “Agreement” means the Conditions prising the Conditions of the Client/Consultant Model Services Agreement (General Conditions and Particular Conditions) together with Appendix A (Scope of Services), Appendix B (Personnel, Equipment, Facilities and Services of Others to be Provided by the Client), Appendix C (Remuneration and Payment), Letter of Acceptance and Formal Agreement if pleted, or otherwise as specified in the Particular Conditions. （ 8） “日 ”是指任何一個午夜至下一個午夜間的時間段。 (viii) “day” means the period between any one midnight and the next （ 9）
