【正文】 y/Weight issued by the China Commodity Inspection Bureau, and Transferable Insurance policy or Insurance Certificate when this contract is made on CIF basis. （１３）品質和數(shù)量的異議與索賠 Quality and Quantity Discrepancy and Claim:貨到目的口岸后，買方如發(fā)現(xiàn)貨物品質 及／或數(shù)量與合同規(guī)定不符，除屬于保險公司及／或船公司的責任外，買方可以憑雙方同意的檢驗機構出具的檢驗證明向賣方提出異議。品質異議須于貨到目的口岸之日起 30 天內提出，數(shù)量／重量異議須于貨到目的口岸之日起 15 天內提出。 In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination。 while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation anizations are liable. （１４）不可抗力 Force majeure: 由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時，責任不在賣方。但賣方應立即將事故通知買方；并于事故發(fā)生后 15 天內書面提交有關證明。如果事故持續(xù)超過 10 個星期，買方有權撤銷本合同。 The Sellers shall not be held responsible for any delay in delivery or nondelivery of the goods due to FORCE MAJEURE. However, the Sellers shall advise Buyers immediately of such occurrence and within 15 days thereafter, shall provide with written evidence to the Buyers issued by the petent authorities of the place where the accident occurs as evidence thereof. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel this Contract. （１５）仲裁 Arbitration: 凡因執(zhí)行本合同或與本合同有關事項所發(fā)生的一切爭執(zhí)，應由雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時，則在中國國際經(jīng)濟貿易仲裁委員會上海分會根據(jù)該仲裁機構的仲裁程序規(guī)則進行仲裁。仲裁決定是終局的，對雙方具有同等約束力。仲裁費用除非仲裁機構另有決定外，均由敗訴一方負擔。 All disputes in connection with this contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to China International Economic and Trade Arbitration Commission in accordance with the provisional Rules of Procedures promulgated by the said Arbitration Commission. The arbitration shall take place in Shanghai and the decision of the Arbitration Commission shall be final and binding upon both parties。 neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. （１６）通知 Notices： 所有通知用＿＿＿文寫成，并按照如下地址用傳真 /電子郵件 /快件送達給各方。如果地址有變更，一方應在變更后＿＿日內書面通知另一方。 All notice shall be written in _____ and served to both parties by fax/ /courier according to the following addresses.
