The Parties may agree to extend this Agreement by signing an amendment。(each “Party” and collectively the “Parties”).鑒于：WHEREAS:太美薯業(yè)希望根據(jù)本協(xié)議的條款和條件向供貨商購買產(chǎn)品（及相關(guān)服務(wù)），而供貨商同樣希望根據(jù)該等條款和條件向太美提供產(chǎn)品（及相關(guān)服務(wù)）。由任何個(gè)人或?qū)嶓w“控制”，是指經(jīng)表決、特許、私人協(xié)議或安排，處理他方事項(xiàng)的權(quán)力。In the event of a conflict between the terms and conditions of this Agreement and those of Purchase Orders, the terms and conditions of this Agreement shall prevail. 變更采購訂單： 太美應(yīng)通過電子郵件或傳真方式，發(fā)送采購訂單的變更內(nèi)容。 Delivery date: From TaiMei purchase orders within ten working days of delivery.8. 包裝；標(biāo)識和產(chǎn)品追查PACKAGING。Should Tai Mei reject any Products for failure to conform to the Specifications or any provision under this Agreement, Tai Mei shall notify Company of the rejection, giving detailed reasons for the rejection. Upon Tai Mei’s request, Company shall replace the nonconforming Products within fourteen (14) Days of such notice and as directed by Tai Mei. Rejected Products to be returned to Company shall be shipped at Company39。If during the term of this Agreement, any debt of Company to a third party may result in a lien on any or all of Products, which may result in a claim against Tai Mei, Company shall: (i) immediately settle such claim or indebtedness。 Products are produced in accordance with applicable laws, rules, decrees, regulations and Tai Mei’s Supplier Code of Conduct set forth in Exhibit D。. 若需使用車輛的，則投保綜合車輛責(zé)任險(xiǎn)，且每次出險(xiǎn)情況下人身損害和財(cái)產(chǎn)損失的累計(jì)保險(xiǎn)額度不少于一百萬美元；Comprehensive Automobile Liability insurance if the use of motor vehicles is required, with limits of at least US $1,000,000 bined single limit for bodily injury and property damage for each occurrence。 (c) is independently made available to it as a matter of lawful right by a third party who does not have a restriction on use or disclosure。 Tai Mei shall be entitled to setoff amounts it owes to Company against amounts owed to it by Company. 22. 獨(dú)立承包商關(guān)系INDEPENDENT CONTRACTOR RELATIONSHIP供貨商和太美之間屬獨(dú)立承包商關(guān)系，任一方不得視為另一方的代理商或雇員。Company shall indemnify, defend and hold harmless Tai Mei, its Affiliated Companies and their officers, directors, shareholders, employees and agents from and against all costs, fees (including attorneys fees), expenses, claims, liabilities, losses or damages associated with any third party claim, relating to or arising as a result of the Company’s supply of Products under this Agreement. 對于因本協(xié)議項(xiàng)下向太美或其關(guān)聯(lián)公司提供的或?yàn)橹_發(fā)的產(chǎn)品、或向太美或其關(guān)聯(lián)公司提供的任何服務(wù)及其結(jié)果，而被控或?qū)嶋H侵犯第三方的知識產(chǎn)權(quán)而產(chǎn)生的所有損害賠償、費(fèi)用、支出、責(zé)任或成本，包括但不限于律師費(fèi)及其他法律費(fèi)用，以及糾紛解決的成本，供貨商應(yīng)對太美、太美的關(guān)聯(lián)公司及其各自的各個(gè)董事、股東、高級管理人員、雇員和法律代理作出賠償、為之辯護(hù)并使之免受損害。供貨商應(yīng)在供貨前，提供上述保險(xiǎn)的證明或其他有效證據(jù)。In addition to any other rights or remedies provided in this Agreement or under applicable law, if Company fails to satisfy general industry standards or the above warranties, at Tai Mei’s sole discretion, Company shall, without additional pensation, either: (i) correct any defects in Products, (ii) replace the nonconforming Products, (iii) refund all or part of the Price for Products, or (iv) in the case of Products infringing IP Rights, either: (a) procure a license for the Products, Services and use thereof by or on behalf of Tai Mei and its Affiliated Companies。s prior written consent to any proposed change or modification. The acceptance of any Product that has been so changed or modified without Tai Mei39。After Tai Mei’s receipt of Products conforming to Specifications, Tai Mei shall make payments by bank transfer to Company within thirty (30) Days of Tai Mei’s receipt of Company’s accurate invoice.
