　　 The validity, interpretation and implementation of this contract shall be governed by the laws of People’s Republic of China.
　　 本協(xié)議的定義、解釋和履行均適用中華人民共和國(guó)法律；
　　 In the event of any dispute, controversy or claim arising out of or relating to this Contract, the Parties shall attempt in the first instance to resolve such dispute through friendly consultations. In the event that no settlement can be reached, such disputes shall be submitted to Shenzhen for arbitration.
