【正文】 onsent of the buyer， a　pensation　of　a　certainamount to be agreed upon by both parties shall be payable to the buyer　bythe seller. 　the seller shall maintain close contact with the carrying　vesseland shall notify the buyer by fastest means of munication about any andall accidents that may occur while the carrying vessel is　on　route.　theseller shall assume full responsibility and shall pensate the buyer forall losses incurred for its failure to give timely advice or　notificationto the buyer. 1cif terms: under cif terms， besides clause15camp。f/cif termsor freight to collect for fob/fas terms， ocean bills of lading， made outto　order　and　blank　endorsed，　notifying　_________at　the　port　 ofdestination. 　five copies of signed invoice， indicating contract number，　l/umber， name of modity， full specifications， ，　signedand issued by the beneficiary of letter of credit. 　two copies of packing list and/or weight memo　with　indicationof gross and net weight of each　package　and/or　measurements　issued　bybeneficiary of letter of credit. 　two copies each of the certificates of quality and quantity　orweight issued by the manufacturer and/or a qualified independent　surveyorat the loading　port　and　must　indicate　full　specifications　of　goodsconforming to stipulations in letter of credit. 　one duplicate copy of the cable or telex advice of shipment　asstipulated in clause17of the terms of delivery. 　a　letter　attesting　that　extra　copies　of　abovementioneddocuments have been dispatched according to the contract. 　a letter attesting that the nationality of the carrying　vesselhas been approved by the buyer. 　the relevant insurance policy covering， but not limited　to　atleast110% of the invoice value against all and war risks if the insuranceis covered by the buyer. 　any original document(s) made by rephotographic system， automatedor puterized system or carbon copies shall　not　be　acceptable　unlessthey are clearly marked as original. and certified　with　signatures　inhand writing by authorised officers of the issuing pany or corporation. 　through bill of lading， stale bill of lading， short form bill　oflading， shall not be acceptable. 　third party appointed by the beneficiary as shipper shall not　beacceptable unless such third party bill of lading is made out to the orderof shipper and endorsed to the　beneficiary　and　blank　endorsed　by　thebeneficiary. 　documents issued earlier than　the　opening　date　of　letter　ofcredit shall not be acceptable. 　in the case of camp。 24．仲裁 雙方同意對一切因執(zhí)行和解釋本合同條款所發(fā)生的爭議，努力通過友好協(xié)商解決。 21．檢驗和索賠 貨物在目的口岸卸畢60天內(nèi)（如果用集裝箱裝運則在開箱后60天）經(jīng)中國進出口商品檢驗局復驗，如發(fā)現(xiàn)品質(zhì)、數(shù)量或重量以及其它任何方面與本合同規(guī)定不符，除屬于保險公司或船行負責者外，買方有權憑上述檢驗局出具的檢驗證書向賣方提出退貨或索賠。 18．f．對于camp。 18．a(chǎn)．5．本交貨條件第17條規(guī)定的裝船通知電報或電傳副本一份。f條件適用之外賣方負責貨物的保險，但不允許有免賠率。 15．e．一次裝運數(shù)量超過一千噸的貨載或其它少于一千噸但買方指明的貨載，賣方應在裝船日前至少10天用電傳或電報通知買方合同號、商品名稱、數(shù)量、船名、船齡、船籍、船只主要規(guī)范、預計裝貨日、預計到達目的港時間、船公司名稱、電傳和電報掛號。 15．b．賣方所租船只應適航和適貨。 14．e．如買方所訂船只到達裝運港后，賣方不能在買方所通知的裝船時間內(nèi)將貨物裝上船只或將貨物交到吊桿之下，賣方應負擔買方的一切費用和損失，如空艙費、滯期費及由此而引起的及／或遭受的買方的一切損失。 14．fob／fas條件 14．a(chǎn)．本合同項下貨物的裝運艙位由買方或買方 方的運輸代理人_________租訂。 合同號碼：_________ 買方：_________ 賣方：_________ 本合同由買賣雙方締結，用中、英文字寫成，兩種文體具有同等效力，按照下述條款，賣方同意售出買方同意購進以下商品： 1．商品名稱及規(guī)格：_________ 2．生產(chǎn)國別及制造廠商：_________ 3．單價（包裝費用包括在內(nèi)）：_________ 4．數(shù)量：_________ 5．總值：_________ 6．包裝（適合海洋運輸）：_________ 7．保險（除非另有協(xié)議，保險均由買方負責）：_________ 8．裝船時間：_________ 9．裝運口岸：_________ 10．目的口岸：_________ 11．裝運嘜頭，賣方負責在每件貨物上用牢固的不褪色的顏料明顯地刷印或標明下述嘜頭，以及目的口岸、件號、毛重和凈重、尺碼和其它買方要求的標記。 14．d．貨物裝運日前10－15天，買方應以電報或電傳通知賣方合同號、船只預計到港日期、裝運數(shù)量及船運代理人的名稱。但賣仍應在裝載貨船到達裝港后立即將貨物裝船，交負擔費用及風險。 15．c．賣方所租載貨船只應在正常合理時間內(nèi)駛達目的港。超過20年船齡的船只，賣方應負擔超船齡外保險費。 18．裝船單據(jù) 18．a(chǎn)．賣方憑下列單據(jù)向付款銀行議付貨款： 18．a(chǎn)．1．填寫通知目的口岸的_________運輸公司的空白抬頭、空白背書的全套已裝運洋輪的清潔提單（如系camp。 18．a(chǎn)．8．如系賣方保險需提供投保不少于發(fā)票價值110％的一切險和戰(zhàn)爭險的保險單。 18．h．載運貨船啟碇后，賣方須立即航空郵寄全套單據(jù)副本一份給買方，三份給目的口岸的對外貿(mào)易運輸公司分公司。 22．賠償費 因人力不可抗拒而推遲或不能交貨者除外，如果賣方不能交貨或不能按合同規(guī)定的條件交貨，賣方應負責向買方賠償由此而引起的一切損失和遭受的損害，包括買價及／或買價的差價、空艙費、滯期費，以及由此而引起的直接或間接損失。仲裁費用除非另有決定，由敗訴
