【正文】 獲得的、源于＿＿＿＿＿的任何技術(shù)資料或軟件。 軟件分許可合同 產(chǎn)品說(shuō)明和規(guī)格 交貨和安裝時(shí)間表 １．雙方間的協(xié)議（簡(jiǎn)稱“合同”）由本合同所規(guī)定的條款和條件以及以下所提及的附件構(gòu)成： 因此，考慮到本合同中所含的相互條款和協(xié)議，現(xiàn)雙方特協(xié)議如下： 附件一 附件三 附件五 附件七 （ｂ）在買方訂購(gòu)的＿＿＿＿＿系統(tǒng)可以提供使用之前，賣方應(yīng)根據(jù)本合同附件七租賃合同所規(guī)定的條款將此系統(tǒng)租賃給買方。運(yùn)費(fèi)將加在賣方發(fā)票上，由買方支付。 （ｂ）賣方或其指定的服務(wù)供應(yīng)商應(yīng)在買方指定的中華人民共和國(guó)境內(nèi)設(shè)施上安裝＿＿＿＿＿系統(tǒng)。 ６．所有權(quán)和損失風(fēng)險(xiǎn) ８．裝運(yùn)到場(chǎng)和驗(yàn)收合格 （ｂ）通知裝運(yùn)到場(chǎng)后＿＿＿＿＿天，賣方有權(quán)按本合同附件三規(guī)定的交付條件就下列款項(xiàng)向買方開(kāi)出發(fā)票： （ｉｉ）系統(tǒng)已經(jīng)開(kāi)始買方擬用系統(tǒng)進(jìn)行的操作。 （ｅ）裝運(yùn)到場(chǎng)和合格驗(yàn)收都不免除賣方在本合同項(xiàng)下的任何責(zé)任，包括驗(yàn)收測(cè)試的成功完成以及按本合同條款和條件對(duì)瑕疵或缺陷進(jìn)行糾正。買方同意就因買方過(guò)失的行為與不行為或者因買方違反或不履行本第九條而導(dǎo)致的一切請(qǐng)求補(bǔ)償賣方，使賣方不受損害并為其辯護(hù)。 （ｂ）賣方應(yīng)向買方提供３份＿＿＿＿＿系統(tǒng)所有操作手冊(cè)和安裝指南。 （ｃ）本合同規(guī)定的保證取代對(duì)系統(tǒng)性能的一切其他明示或默示保證，包括但不限于關(guān)于適銷性或適合某一特殊用途的任何默示保證。但是，賣方可以選擇以下其中一項(xiàng)： 在本合同規(guī)定的＿＿＿＿＿系統(tǒng)的保證期屆滿前，賣方和／或其指定的服務(wù)供應(yīng)商應(yīng)給買方提供機(jī)會(huì)，簽訂一份＿＿＿＿＿系統(tǒng)（包括有關(guān)控制用計(jì)算機(jī)的軟件，但不包括控制用計(jì)算機(jī)的硬件平臺(tái)）的維修續(xù)期合同，并可連續(xù)續(xù)展一年。 １８．相互聲明 （ａ）買方同意使用至少與買方適用于自身專有資料相同的謹(jǐn)慎與防范措施，對(duì)賣方向買方透露的、包含專有資料并標(biāo)明“專有”或“保密”的任何資料或數(shù)據(jù)，如賣方的圖紙和軟件（包括但不限于設(shè)計(jì)、報(bào)告、軟件文件、手冊(cè)、模型等等）予以保密，但無(wú)論如何，謹(jǐn)慎不得低于合理程度。 ２０．補(bǔ)償受補(bǔ)償方未給予該通知并不排除其按本合同規(guī)定尋求補(bǔ)償，除非未給予該通知使補(bǔ)償方抗辯該索賠請(qǐng)求的能力受到實(shí)質(zhì)影響。如果侵權(quán)是由賣方交貨后有人將物品混合、添加或改造而引起，或者由實(shí)施某一方法時(shí)使用物品（或其任何部分）而引起，則賣方無(wú)義務(wù)進(jìn)行辯護(hù)，亦無(wú)承擔(dān)費(fèi)用或損害賠償?shù)呢?zé)任。 ２２．不可抗力 除關(guān)于法律選擇或律師費(fèi)的支付外，本合同應(yīng)適用＿＿＿＿＿法律，并按照＿＿＿＿＿法律解釋。 ２．仲裁員為三名，均應(yīng)英文流利。 ４．當(dāng)發(fā)生任何爭(zhēng)議時(shí)以及對(duì)任何爭(zhēng)議進(jìn)行仲裁時(shí)，除爭(zhēng)議事項(xiàng)外，雙方將繼續(xù)行使本合同項(xiàng)下各自其余的權(quán)利，履行本合同項(xiàng)下各自其余的義務(wù)；以及 ２７．拘束力 系統(tǒng)組件（略） 本附件五（“許可合同”）條款規(guī)定，在以下指明的若干計(jì)算機(jī)軟件用作賣方按合同（本附件五構(gòu)成其一部分）所供系統(tǒng)的一部分或者與之一起使用的情況下，賣方即將該系統(tǒng)許可給買方。本許可合同第１０條所列的、構(gòu)成＿＿＿＿＿控制系統(tǒng)的程序，與其任何拷貝、復(fù)制件或摘錄一起，在本附件中統(tǒng)稱為“程序”。 被許可人只可將程序用于賣方按本合同條款提供作為每個(gè)系統(tǒng)一部分的計(jì)算機(jī)，例外的是，如果＿＿＿＿＿系統(tǒng)計(jì)算機(jī)因?yàn)榘l(fā)生故障不能操作，或在進(jìn)行保養(yǎng)性維修、工程設(shè)計(jì)變更、特制件或模型變換期間不能操作，則亦可將程序用在被許可人的備用計(jì)算機(jī)上，直到＿＿＿＿＿系統(tǒng)控制用計(jì)算機(jī)修復(fù)到操作狀態(tài)為止。許可人不保證程序和（或）其相關(guān)文件（如有的話）符合被許可人的要求，沒(méi)有錯(cuò)誤，或者能夠不間斷地操作，其質(zhì)量和性能方面的全部風(fēng)險(xiǎn)由被許可人承擔(dān)。 對(duì)于向被許可人提起的訴訟，許可人同意自行承擔(dān)費(fèi)用為被許可人辯護(hù)，對(duì)于有管轄權(quán)法院在上述任何訴訟的終局判決中判由被許可人承擔(dān)的損害賠償和費(fèi)用，許可人將對(duì)被許可人作出補(bǔ)償，使之免受損害，其范圍是判決基于這一主張，即在本許可合同所授予的許可范圍內(nèi)使用程序構(gòu)成對(duì)＿＿＿＿＿國(guó)任何專利或版權(quán)的侵權(quán)。 （略）。 附件六 Ａ．軟件許可的授予 （２）用戶可以在經(jīng)許可的處理機(jī)上執(zhí)行軟件，而且只有在經(jīng)許可的處理機(jī)上執(zhí)行軟件所需的范圍內(nèi)，可以裝入、復(fù)制或傳送軟件，但有以下兩種例外： thelaws of the People39。 the foregoing corporationorganized and existing under the laws of ___________(Seller) as follows: schedules Price and Payment Terms Annex E Enduser Software sublicense Agreement shall __________ 3.
