【正文】 對(duì)貴行而 言，不可轉(zhuǎn)讓 )。 Counter gurantor beneficiary gurantor applicant Advising bank 通過(guò)轉(zhuǎn)開(kāi)行轉(zhuǎn)開(kāi)（四方） beneficiary Instructing bank (counter bank) applicant reissuing bank (Guarantor bank) 二、銀行保函當(dāng)事人責(zé)任 ? 委托人的責(zé)任 :(principal) ? 在擔(dān)保行按照保函規(guī)定向受益人付款后，委托人須立即償還擔(dān)保行墊付之款。在投標(biāo)保函中，擔(dān)保銀行保證投標(biāo)人履行下列責(zé)任和義務(wù)： ? 保證在其報(bào)價(jià)的有效期內(nèi)不修改原報(bào)價(jià)、不撤標(biāo)、不改標(biāo)。 ? 補(bǔ)償貿(mào)易保函（ Guarantee for pensation trade） ? 銀行應(yīng)進(jìn)口設(shè)備（或技術(shù)）方的請(qǐng)求，向供應(yīng)設(shè)備（或技術(shù)）方開(kāi)具的書(shū)面付款保證，保證委托人在收到與合同相符的設(shè)備或技術(shù)后，在一定時(shí)期內(nèi)將以其所生產(chǎn)的產(chǎn)品或其他產(chǎn)品來(lái)抵償所引進(jìn)設(shè)備或技術(shù)的價(jià)值，或以產(chǎn)品出售后所得款項(xiàng)進(jìn)行支付。 ? 開(kāi)證行在收到索賠文件后，經(jīng)審查符合信用證的規(guī)定，應(yīng)無(wú)條件地向受益人付款。 URDG與 ISP98 備用信用證的業(yè)務(wù)流程 ? 開(kāi)證申請(qǐng)人根據(jù)基礎(chǔ)合同的規(guī)定向銀行申請(qǐng)開(kāi)立備用信用證 ? 開(kāi)證行在經(jīng)過(guò)認(rèn)真審查后，開(kāi)出備用信用證，并通過(guò)通知行向受益人通知備用信用證。 ? 延期付款保函（ Deferred payment guarantee） ? 銀行應(yīng)買方或業(yè)主的委托向賣方或承包商開(kāi)立的、對(duì)延期支付或遠(yuǎn)期支付的合同價(jià)款以及由此產(chǎn)生的利息所做出的一種付款保證承諾。 ? 受益人的權(quán)利 (beneficiary) ? 受益人按照保函規(guī)定，提交相符的索款聲明，或連同有關(guān)單據(jù)，有權(quán)向擔(dān)保行索償，并取得付款。 索償不方便。 ? 例 6:“It is hereby certified that this guarantee constitutes our bank, our heirs, legal representatives, executors, administrators, successors, assignees or transferees at any title as surety for the following:…”( 本保函構(gòu)成我行及我行的繼承人、法定代表人、執(zhí)行人、管理人、按管人、受讓人等如下的擔(dān)保責(zé)任 …) 。 ? ? “ The amount of this letter of guarantee shall be automatically reduced as and when respective amount of installments and/or interest is duly settled and paid by the Buyer and/or by ourselves under contract”(本保函的擔(dān)保金額將隨合同每筆分期付款的金額和利息按時(shí)地結(jié)算而自動(dòng)遞減 )。當(dāng)申請(qǐng)人未能履行其所承諾的義務(wù)時(shí)，銀行負(fù)有向受益人賠償經(jīng)濟(jì)損失的責(zé)任。 ? ? ? ? 例 1： The beneficiary shall be the sole and final judge for deciding whether of not the applicant has duly performed his obligations of the contract, and we hereby undertake to pay you immediately upon receipt of your written claim notwithstanding any protestation, defense, or objection from the applicant and without it being necessary for you to produce or adduce any proof(s) or any judicial or administrative proceedings whatsoever on support of your claim….( 受益人將作為唯一的和最終的裁決人，以判定申請(qǐng)人是否按時(shí)履行了其合約項(xiàng)下的義務(wù)。 ? 例 1:“For authentication purpose, your written demand, if any, shall be sent to us though xx bank after its confirmation of your signature a fixed thereon, or shall be confirmed by xx bank in the way of its
