Types, value and duration of insurance shall be decided by the Board of Directors in accordance with the stipulations of the insurance panies.Chapter 11 Duration, Dissolution and LiquidationArticle 52The operating period of the Company is ___________ years and shall start from the date on which the business license of the Company is issued.Article 53Should the investing party decide to extend the operating period, it shall submit a written application to the original examination and approval authority at lease 6 months prior to the expiry date of the operating period. Heavy losses due to mismanagement。5. employee welfare system。第四條 公司組織形式為有限責任公司。第十一條 公司出資方式為現(xiàn)金__________________；　　　　　實 物 折___________________。第四章 董事會第十五條 公司設(shè)董事會。第十八條 董事會會議每年至少召開一次，由董事長召集并主持會議。會議記錄由公司存檔備查。第二十七條　公司的部門及部門結(jié)構(gòu)設(shè)置由總經(jīng)理商副總經(jīng)理制定方案，由董事會決定。第一個會計年度自營業(yè)執(zhí)照簽發(fā)之日起至同年十二月三十一日止。第七章 利潤分配第三十八條 公司從繳納所得稅后的利潤中提取儲備基金、企業(yè)發(fā)展基金和職工獎勵及福利基金。第四十二條　公司與錄用員工依法訂立勞動合同，并報當?shù)貏趧庸芾聿块T備案。第四十八條　公司研究決定有關(guān)職工獎懲、工資制度、生活福利、勞動保護和保險問題，工會代表有權(quán)列席會議，公司應當聽取工會的意見，取得工會的合作。第五十四條　除經(jīng)營期滿外，因下列原因董事會可決定提前終止公司：1. 經(jīng)營不善，嚴重虧損；2. 因自然災害、戰(zhàn)爭等不可抗力而遭受嚴重損失，無法繼續(xù)經(jīng)營；3. 破產(chǎn)；4. 違反中國法律、法規(guī)，危害社會公共利益被依法撤銷；5. 本章程規(guī)定的其他解散事由已經(jīng)出現(xiàn)。第六十條 本公司清算結(jié)束，應當向工商行政管理機關(guān)辦理注銷登記手續(xù)，繳銷營業(yè)執(zhí)照并將清算對外公告。其修改時同。如果對某一特定事宜，中國未頒布法律，則須參照國際慣例。第五
