The Seller should also guarantee that the goods work well within one (1) year since the installation under the condition that they are installed, used and maintained correctly. If the Buyer finds that the goods are nonconforming and then rejects to issue the Acceptance Report, then the Seller should be responsible for any and all losses suffered by the Buyer and the Buyer’s Agent and any and all costs incurred thereby. 賣方須保證所售出的貨物為買方本合同所訂購之貨物 (型號，規(guī)格，數(shù)量，貨品 )，如賣方發(fā)錯貨物，造成買方及買方代理損失，賣方需承擔(dān)買方及買方代理的所有損失和由此而產(chǎn)生的全部費(fèi)用。在保修期內(nèi)，修理的部件和勞動力是免費(fèi)的。 After the free warranty expires, in case of any deviation in the aspect of equipment quality, the Seller should be responsible for the calibration free of charge。買方代理在辦理清關(guān)過程中如因政府要求需補(bǔ)充相關(guān)文件的，賣方應(yīng)在買方代理通知后 24 小時內(nèi)以快遞形式寄送買方代理。 After the goods arrive at the port of destination, the Buyer’s Agent shall apply the General Administration of Quality Supervision, Inspection and Quarantine of the People’s Republic of China (hereinafter to be referred as the “AQSIQ”) for further inspection on the specifications, quantity or 10 weight of the goods. During the inspection, if it is found that the goods are damaged or the specifications and quantity of the goods are inconsistent with those under the Contract, besides the insurance pany or the transportation pany, the Buyer or the Buyer’s Agent should also make a claim against the Seller or reject the goods against the Inspection Certificate issued by the AQSIQ within niy (90) days upon arrival of the goods at the port of destination. 在保證期限內(nèi)，若貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或品質(zhì)、性能與合同規(guī)定不符時，買 方或其代理將委托國家檢驗(yàn)檢疫局進(jìn)行檢驗(yàn)，并憑其檢驗(yàn)證明書向賣方提出索賠 (包括換貨 )，由此產(chǎn)生的全部相關(guān)費(fèi)用應(yīng)由賣方承擔(dān)。在此情況下，賣方仍有責(zé)任采取一切必要的措施，加快交貨?？偭P金不超過延誤部分貨物總價值的 5%，罰金將從履約保證金或支付款（沒有履約保證金的） 中扣除。如不能解決，則應(yīng)申請中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會華南分會，按照申請仲裁時該會實(shí)施的仲裁 規(guī)則進(jìn)行仲裁。本合同由三方代表簽字、蓋 12 章后即生效。s Agent： 賣 方 : 13
