份。第四條買賣貨物總值：第五條貨物裝運(yùn)期限：第六條貨物裝運(yùn)口岸：。該信用證必須在前開出。第十二條品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，乙方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，附屬于保險(xiǎn)公司及/或船公司的責(zé)任外，乙方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向甲方提出異議。但甲方必須立即以電報(bào)通知乙方。仲裁決定是終局的，對(duì)雙方具有同等的約束力，仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有約定外，均由敗訴一方負(fù)擔(dān)。確定價(jià)格前可參考中石油、中石化當(dāng)日掛牌價(jià)。甲方有權(quán)對(duì)每批柴油質(zhì)量進(jìn)行抽查。如遇柴油供應(yīng)緊張，乙方應(yīng)該首先確保甲方柴油供應(yīng)。甲方需在發(fā)票開具之日起30天內(nèi)向乙方結(jié)帳。甲方須確保卸油區(qū)的安全。1本合同一式二份，甲、乙雙方各執(zhí)一份。合同附件與本合同具有同等效力。如甲方遇不可抗拒的原因，確實(shí)無法履行合同。如需變更，由此而產(chǎn)生的損失，乙方負(fù)擔(dān)。國家定價(jià)的商品，在合同規(guī)定的交(提)貨期限內(nèi)，如遇國家或地方行政部門調(diào)整價(jià)格，按交貨(指運(yùn)出)時(shí)的價(jià)格執(zhí)行。由于調(diào)整價(jià)格而發(fā)生的差價(jià)，購銷雙方另行結(jié)算。乙方對(duì)商品包裝有特殊要求，雙方應(yīng)具體合同中注明，增加的包裝費(fèi)用，由乙方負(fù)擔(dān)。當(dāng)令商品，零配件和數(shù)量較少的品種，可發(fā)貨。如一方需要變更運(yùn)輸路線、工具、到達(dá)站時(shí)，應(yīng)及時(shí)通知對(duì)方，并進(jìn)行協(xié)商，取得一致意見后，再辦理發(fā)運(yùn)，由此而影響合同期限，不以違約處理。若因有關(guān)單據(jù)未能隨貨同行，貨到后，乙方可先向承運(yùn)部門具結(jié)接收，同時(shí)立即通知甲方，甲方在接到通知后5 日內(nèi)答復(fù)。接收進(jìn)口商品和外貿(mào)庫存轉(zhuǎn)內(nèi)銷的商品，因關(guān)系到外貿(mào)查詢，查詢期為乙方收貨后的60天，逾期甲方不再受理。為減少部分查詢業(yè)務(wù)，凡一張調(diào)撥單所列一個(gè)品種損溢在2 元以下、殘損在5 元以下均不做查詢處理(零件除外)。有固定購銷關(guān)系的國營、供銷合作社商業(yè)企業(yè)，異地貨款結(jié)算可采用“托收承付”結(jié)算方式。如違約金過分高于或者低于造成的損失的，當(dāng)事人可以請(qǐng)求人民法院或者仲裁機(jī)構(gòu)予以適當(dāng)減少或者增加。乙方未按期提貨，應(yīng)按中國人民銀行有關(guān)延期付款的規(guī)定，按逾期提貨部分貨款總值計(jì)算，向甲方償付逾期提貨的違約金，并承擔(dān)甲方實(shí)際支付的保管費(fèi)用。(兩者選一)第十五條 本合同一式4 份，甲、乙兩方各執(zhí)2 份，并送交當(dāng)?shù)厝嗣胥y行及有關(guān)部門，監(jiān)督執(zhí)行。具體品類(種)，需簽訂要貨成交單，并作為本購銷合同的附件。簽訂成交單，除上級(jí)規(guī)定按計(jì)劃分配成交外，其余商品一律采取自由選購，看樣成交的方式。但提出方應(yīng)提前通知對(duì)方，并將“合同變更通知單”寄給對(duì)方，辦理變更或解除合同的手續(xù)。第三條成交單中的商品價(jià)格，由雙方當(dāng)事人商議決定，或以國家定價(jià)決定。遇價(jià)格下調(diào)時(shí)，按新價(jià)執(zhí)行。第五條各類商品質(zhì)量標(biāo)準(zhǔn)，甲方嚴(yán)格執(zhí)行合同規(guī)定的質(zhì)量標(biāo)準(zhǔn)，保證商品質(zhì)量。對(duì)合同期內(nèi)的商品可考慮按3 ∶3 ∶4 的比例分批發(fā)貨。有效期在2 /3 以下的，甲方應(yīng)征得乙方同意后才能發(fā)貨。該信用證憑裝運(yùn)單據(jù)在中國的中國銀行見單即付。
