議在每一期末自動(dòng)續(xù)展一年，到下一年的12月31日止，除非一方在協(xié)議到期前30天以前書(shū)面通知另一方終止協(xié)議的執(zhí)行。_________（加入產(chǎn)品描述）2．地域許可協(xié)議只在_________地區(qū)有效。第一篇：國(guó)際商標(biāo)許可協(xié)議本協(xié)議由_________公司（以下稱為許可方）和_________（以下稱為被許可方）于_________年_________月_________日簽訂。被許可方同意不在其他地區(qū)直接或間接使用或授權(quán)使用這一商標(biāo)，且不在知情的情況下向有意或有可能在其他地區(qū)出售協(xié)議下產(chǎn)品的第三者銷售該產(chǎn)品。二、付款方式1．比例被許可方同意向許可方支付其或其附屬公司、子公司等出售協(xié)議產(chǎn)品的凈銷售額的_________％作為使用費(fèi)。2．最低限度使用費(fèi)被許可方同意向許可方支付最低限度使用費(fèi)_________美元，作為對(duì)合同第一期應(yīng)支付使用費(fèi)的最低保證，上述最低限度使用費(fèi)將在第一期的最后一天或此前支付。被許可方將使用后附的，由許可方提供給其的報(bào)告樣本。支付應(yīng)用美元。如果被許可方在10天內(nèi)未接受這一要求，許可方有權(quán)通過(guò)其他生產(chǎn)者進(jìn)行獎(jiǎng)勵(lì)、贈(zèng)給或其他促銷安排。五、許可方的所有權(quán)及許可方權(quán)利的保護(hù)1．被許可方同意在協(xié)議有效期內(nèi)及其后，不質(zhì)疑許可方就該商標(biāo)享有的所有權(quán)和其他權(quán)利，不質(zhì)疑本協(xié)議的有效性。許可方根據(jù)自己的意愿，可以自己的名義、被許可方的名義或雙方的名義針對(duì)索賠和訴訟應(yīng)訴。被許可方將自己負(fù)擔(dān)費(fèi)用，向一家在_________地區(qū)有經(jīng)營(yíng)資格的保險(xiǎn)公司承保產(chǎn)品責(zé)任險(xiǎn)，為許可方（同時(shí)也為被許可方）因產(chǎn)品瑕疵導(dǎo)致的索賠、訴訟或損失提供合理的保護(hù)。許可方一詞包括其官員、董事、代理人、雇員、下屬和附屬機(jī)構(gòu)，名字被許可使用的人，包裝制造人，名字被許可使用的廣播、電視節(jié)目制作人，節(jié)目轉(zhuǎn)播臺(tái)，節(jié)目主辦者和其廣告代理，及這些人的官員、董事、代理人和雇員。協(xié)議產(chǎn)品及其紙箱、集裝箱和包裝材料的質(zhì)量和式樣需得到許可方的同意。在被許可方開(kāi)始出售協(xié)議產(chǎn)品后，應(yīng)許可方的要求，將免費(fèi)向許可方提供不超過(guò)_________件的隨機(jī)抽樣樣品及相關(guān)的紙箱、包裝箱和包裝材料。被許可方在使用小牌、標(biāo)簽、標(biāo)記或其他標(biāo)志時(shí)，在廣告、促銷和展示材料中標(biāo)明商標(biāo)，需事先得到許可方的同意。但是，雙方確認(rèn)本協(xié)議不能視作向被許可方轉(zhuǎn)讓了任何與商標(biāo)有關(guān)的權(quán)利、所有權(quán)和利益。此種交回的權(quán)利范圍只能基于本協(xié)議或雙方的契約而產(chǎn)生。2．許可方有權(quán)，但沒(méi)有義務(wù)使用本協(xié)議商標(biāo)或被許可方的商標(biāo)，以使本協(xié)議商標(biāo)、許可方或被許可方或其項(xiàng)目能夠完滿或卓越。十、分銷1．被許可方同意將克盡勤勉，并且持續(xù)制造、分銷或銷售本協(xié)議產(chǎn)品，而且還將為此做出必要和適當(dāng)?shù)陌才?。許可方或其全權(quán)代表為上述目的可摘錄其的內(nèi)容。通知自許可方寄出之日起生效。3．如果被許可方違反了本協(xié)議條款下的義務(wù)，許可方在提前10天書(shū)面通知后有權(quán)終止合同，除非被許可方在10天內(nèi)對(duì)其違約行為做出全部補(bǔ)償，令許可方滿意。許可方書(shū)面通知被許可方后30天此通知生效。十四、最后報(bào)告在協(xié)議期滿前60天內(nèi)，或收到終止通知的10天以內(nèi)，或是在無(wú)需通知的協(xié)議終止情況下10天以內(nèi)，被許可方應(yīng)向許可方出具一份報(bào)告以說(shuō)明手中的和正在加工中的協(xié)議產(chǎn)品的數(shù)量和種類。十五、存貨處理協(xié)議根據(jù)第十二條的條款終止后，在被許可方已支付預(yù)付款和使用費(fèi)，并已按第二條要求提供報(bào)告的情況下，如協(xié)議中無(wú)另外規(guī)定，被許可方可以在收到終止協(xié)議通知后60天內(nèi)處理其手中的和正在加工中的協(xié)議產(chǎn)品。被許可方不得再使用該商標(biāo)，或直接、間接地涉及該商標(biāo)。被許可方認(rèn)識(shí)到，對(duì)此沒(méi)有恰當(dāng)?shù)姆裳a(bǔ)償。十九、通知除非有更改地址的書(shū)面通知，所有的通知、報(bào)告、聲明及款項(xiàng)均應(yīng)寄至協(xié)議記載的雙方正式地址。二十一、被許可方不得再行轉(zhuǎn)讓、許可本協(xié)議和協(xié)議下被許可方的權(quán)利、義務(wù)，未經(jīng)許可方書(shū)面同意，不得轉(zhuǎn)讓、抵押、再許可，不因法律的實(shí)施或被許可方的原因而受到阻礙。任一方不行使或延誤行使其協(xié)議下的權(quán)利，將不被視作對(duì)協(xié)議權(quán)利的放棄或修改。s
