China (hereinafter called “Owner”)。 and 內(nèi)蒙古中環(huán)光伏材料有限公司，在中華人民共和國(guó)境內(nèi)成立的公司，其經(jīng)營(yíng)場(chǎng)所位于中國(guó)呼和浩特市金橋開發(fā)區(qū)，（以下簡(jiǎn)稱“業(yè)主”）；和(2) WHEREAS 鑒于：(A) The Owner intends to construct of (hereinafter called “The Plant”).業(yè)主擬在 項(xiàng)目（以下簡(jiǎn)稱廠房）。 (B)The Owner is desirous that certain works be executed by Contractor viz. the design, supply, delivery, installation, testing, missioning and start up of the plete facility systems (hereinafter called “The Project”) and therefore has engaged Contractor for the design, execution and pletion of the Project.業(yè)主欲讓承包商承擔(dān)指定的工程，即對(duì)整個(gè)廠房設(shè)備系統(tǒng)的設(shè)計(jì)、供應(yīng)、交貨、安裝、監(jiān)督、檢測(cè)、調(diào)試和啟動(dòng)（以下簡(jiǎn)稱“工程”）并已聘請(qǐng)承包商承擔(dān)本工程的設(shè)計(jì)、施工和完成上述工程。 NOW IT IS HEREBY AGREED AND DECLARED AS FOLLOWS:協(xié)議雙方就以下事宜達(dá)成一致：1. Definitions 定義 In this Agreement all words and expressions have the meanings herein assigned to them except where the context otherwise requires:除非上下文另有規(guī)定，本協(xié)議中的字詞與表達(dá)含義如下：(a) “Owner” means Inner Mongolia Zhonghuan Solar Material Co., Ltd. and this expression shall include its successorsintitle and permitted assigns.“業(yè)主”為內(nèi)蒙古中環(huán)光伏材料有限公司 ，包括其法定繼承人與認(rèn)可的受讓人。(b) “Contract Works” or “Works” means the overall designbuild work of the said facility systems in accordance with the Contract. Details of the Contract Works are more fully described in Clause .“承包工程”或“工程”指合同規(guī)定的全面設(shè)計(jì)和建造工作。(c) “Date of Substantial Completion” shall mean the date of practical Completion set out in Clause 17.“實(shí)際完工日期”指17款規(guī)定的完工日期。(d) “Date of Acceptance” means the date of the Certificate of Acceptance set out in Clause 17.“驗(yàn)收日期”指17款規(guī)定的驗(yàn)收證書簽發(fā)日。(e) “Plant” means the renovation project of C7 system 200MW plant in 10 warehouse of Inner Mongolia Zhonghuan Solar Material Co., Ltd.“廠房”指在中國(guó)內(nèi)蒙古呼和浩特中環(huán)光伏廠區(qū)內(nèi)10倉(cāng)庫(kù)內(nèi)進(jìn)行的C7系統(tǒng)200MW廠房改造項(xiàng)目。(f) “Project” means the Owner is desirous that certain works be executed by Contractor viz. the design, supply, delivery, installation, testing, missioning and start up of the plete facility systems.“工程”指業(yè)主欲讓承包商承擔(dān)指定的工程，即對(duì)整個(gè)廠房設(shè)備系統(tǒng)的設(shè)計(jì)、供應(yīng)、交貨、安裝、監(jiān)督、檢測(cè)、調(diào)試和啟動(dòng)。(g) “Project Manager” means the person appointed by the Owner to act as the Project Manager for the purposes of the Contract.“項(xiàng)目經(jīng)理”指由業(yè)主任命，為合同目的而承擔(dān)項(xiàng)目經(jīng)理職責(zé)的人。(h) “Facility Systems” means the power equipment systems and relative equipments of Waste water treatment and corrosion workshop, supplied and installed for the Owner. “設(shè)備系統(tǒng)”指為業(yè)主建造、供貨并安裝的廢水站及腐蝕車間的動(dòng)力設(shè)備系統(tǒng)及相關(guān)設(shè)備。(i) “Final Design” means the design documents in respect of each of the Facility Systems certified as such by the Project Manager.“最終設(shè)計(jì)”指經(jīng)項(xiàng)目經(jīng)理鑒定的各設(shè)備系統(tǒng)的設(shè)計(jì)文件。(j) “Contractor” means and this expression shall include its successorsintitle and permitted assigns.“承包商”指 ，包括其法定繼承人及經(jīng)認(rèn)可的受讓人。(k) “Milestones” means the pletion dates in respect of critical Contract Works indicated in Annex 2.“里程碑”指附件2中列明的主要合同工作的完成日期。(l) “Concept Design” means the design documents in respect of each or the Facility Systems certified as such by the Project Manager. “概念設(shè)計(jì)”指由項(xiàng)目經(jīng)理鑒定的各設(shè)備系統(tǒng)的設(shè)計(jì)文件。(m) “RMB” means Renminbi Yuan.“RMB”指人民幣元。(n) “Schedule of Rates and Prices” means the schedule of prices as described in Annex 10.“費(fèi)率表”指附件10列明的價(jià)格費(fèi)率。(o) “Site” means the actual place or places on which the Buildings are to be erected or on which the Contract Works are to be done by Contractor.“現(xiàn)場(chǎng)”指將在其上廠房的實(shí)際場(chǎng)所以及承包商做合同工作的場(chǎng)所。(p) “Specifications” means the specifications set out in the Final Design.“技術(shù)規(guī)范”指最
